TERMS OF ACCEPTANCE
This grant award notification is made with respect to the terms and conditions of the application materials for the
identified grant project under which the grantee has an approved application and has agreed to the assurances, which
are incorporated by reference herein. These materials are referred to as the "Application" throughout this Grant Award
Notification (GAN). By accepting this award the grantee agrees to comply with all provisions of the award including all
assurances and certifications made in the Application and all applicable state or federal statutes, regulations and
guidelines. The grantee agrees to administer the program in accordance with the approved Application, budget,
timelines, and other supplemental information submitted in support of the approved Application. All terms not defined
below are as set forth in the Application.
GRANT OVERVIEW AND FUNDING PURPOSE
Under the federal Digital Equity Act, Office of Broadband Development is facilitating the creation of a statewide plan
that addresses Minnesota's digital inclusion landscape and goals. To encourage broad participation in the planning
process, this grant supports eligible applicants in conducting targeted assessment of the digital inclusion strengths,
needs, and goals pertinent to their geographic area and/or service population. Grantees will submit data from these
assessment activities to the Office of Broadband Development for incorporation in the digital equity plan.
REPORTING REQUIREMENTS
The Grantee must submit via email to the Office of Broadband Development one written narrative report and one final
budget report no later than July 30, 2023. Office of Broadband Development will provide templates for both reports no
later than June 1, 2023.
PAYMENT CONDITIONS AND INSTRUCTIONS
All services provided by the Grantee under this agreement must be performed to the State's satisfaction, as determined
at the sole discretion of the State's Authorized Representative and in accordance with all applicable federal, state, and
local laws, ordinances, rules, and regulations. The Grantee will not receive payment for work found by the State to be
unsatisfactory or performed in violation of federal, state, or local law.
The State will reimburse the Grantee in one lump sum within 30 days following receipt and approval of the Grantee's
final narrative report and final budget report.
MONITORING AND FINANCIAL RECONCILIATION
Grantee will comply with State Grant Monitoring Policy and cooperate with Department of Employment and Economic
Development for required monitoring visit(s) and shall comply with Department of Employment and Economic
Development request for supporting documentation for financial reconciliation and other information, before, during
and/or after the visit(s). The Grantee is required to participate in at least one monitoring visit, which will be held
virtually in May 2023 and will last no fewer than 30 minutes. The Authorized Representative will coordinate this visit.
ADDITIONAL CONDITIONS
The Grantee must provide the following deliverables to Office of Broadband Development by June 30, 2023:
1. Evidence of having established a local Digital Connection Committee. This includes contact information for a
committee leader and minutes from 2 meetings occurring during the grant period.
2. Quantitative digital inclusion data. This could be gathered through a survey mechanism.
3. Qualitative digital inclusion data. This could be gathered through a public meeting, focus group, or interviews.

4. An asset inventory identifying any existing digital inclusion resources supporting the Grantees' geographic and/or
service populations. Possible assets include and are not limited to a list of local organizations already providing digital
inclusion services; a list of local internet providers offering low-income internet service discounts; and municipal
strategic or capital investment plans that address any aspect of digital inclusion, including broadband expansion.
WORK PLAN AND BUDGET REVISIONS
The Grantee must receive prior written approval from the State for any changes to the agreed upon work plan, or for
budget changes greater than 10 percent of a budget line item. The State is not obligated to approve expenditures
incurred on budget line -item changes that exceed 10% of the total award for which prior approval has not been granted.
Grantee may not incur expenditures within a budget line item that is not included in the approved budget without the
written approval of the State.
ASSIGNMENTS/WAIVERS/AGREEMENT COMPLETE
The Grantee shall neither assign nor transfer any rights or obligations under this grant award notice without the prior
written consent of the State, approved by the same parties who executed and approved this award, or their successors
in office. If the State fails to enforce any provision of this award, that failure does not waive the provision or the State's
right to enforce it. This grant award notice and application contains all negotiations and agreements between the State
and the Grantee. No other understanding regarding this grant whether written or oral, may be used to bind either party.
AMENDMENTS
Amendments to this grant award notification must be in writing and will not be effective until it has been executed and
approved by the same parties who executed and approved the original grant application, or their successors in office.
CANCELLATION
With or Without Cause
This grant may be cancelled by the state at any time, with or without cause, upon 30 days' written notice to the
Grantee. Upon termination, the Grantee will be entitled to payment, determined on a pro rata basis, for services
satisfactorily performed and for approvable expenditures.
Due to Discontinued or Insufficient Funding
It is expressly understood and agreed that in the event the funding to the state from Federal sources or
appropriations by the Minnesota Legislature are not obtained and/or continued at an aggregate level sufficient
to allow for the grantee's program to continue operating, the grant shall immediately be terminated upon
written notice by the state to the grantee. The state is not obligated to pay for any services that are provided
after notice and effective date of termination. However, the grantee will be entitled to payment, determined on
a pro-rata basis, for services satisfactorily performed and approvable expenditures incurred prior to termination
to the extent that funds are available. The state will not be assessed any penalty if the grant is terminated
because of a decision of the Minnesota Legislature, or other funding source, not to appropriate funds. The state
must provide the grantee notice within a reasonable time of the state receiving notice.
Due to Failure to Comply
The state may cancel a grant award immediately if the state finds that there has been a failure to comply with
the provisions of an award, that reasonable progress has not been made or that the purposes for which the
funds were awarded/granted have not been or will not be fulfilled. The state may take action to protect the
interests of the state of Minnesota, including the refusal to disburse additional funds and requiring the return of
all or part of the funds already disbursed.
