I hereby submit specifications and estimates for additions/changes to the panic button system as follows:
1 -Reinstall client supplied panic buttons
I -Cellular communicator
I -Program and test
Misc. wire, material, and labor necessary to complete the installation
Central station monitoring is $36.00 monthly billed annually in advance. This includes cellular fees.
Note: One year parts and labor warranty. Service under warranty is available during normal working hours.
Client to supply all 110 Volt power required.
This proposal does not include any applicable sales tax.
This proposal does not include the cost of lift rental, if one is required unless noted elsewhere in this
proposal.
This proposal does not include the cost of any permits or required inspections unless noted elsewhere in the
proposal.
This proposal does not include any patching or painting.
I propose hereby to furnish material and labor -complete in accordance with above specifications, for the sum of
One thousand four hundred thirteen dollars and 20/I00's $1,413.20
Payment to be made as follows: One half down with balance due upon satisfactory completion of the
installation.
All material is guaranteed to be as specified. All work to be completed in a workmanlike manner according to
standard practices. Any alteration or deviation from the above specification involving extra cost will be done only
upon written orders, and will become an extra charge over and above the estimate. All agreements contingent upon
strikes, accidents or delays beyond our control. Owner to11ca� fire, toroado and other necessary insurance.

Note: This proposal may be withdrawn by us if not accepted within 15 days of November 19, 2020.
Limitation of Liability: You understand that Security Control Systems, Inc. and its officers, directors, and
employees are not an insurance company and that they and Security Control Systems, Inc. are only providing
certain services to attempt to help you and/or your client reduce certain risks you or they may have. You
acknowledge that you continue to be solely responsible for any insurance coverage for any loss or damage to any
persons or property on your premises. Since it is extremely difficult for Security Control Systems, Inc. to be
able to determine what the nature of or amount of any loss that you and/or your client may incur due to any
action or inaction by Security Control Systems, Inc., You agree that Security Control Systems, Inc. liability
for any such loss shall be limited to the sum of $250.00. Subscriber may, as a matter of right, obtain a higher
limit by paying an additional fee for the increase in such liability, but this payment shall in no may be interpreted to

hold Security Control Systems, Inc. or representative as an insurer. The limitation of liability does not apply to
gross negligence.
Acceptance of proposal: The above prices, specifications, and conditions are satisfactory and are hereby accepted.
Security Control Systems, Inc. is authorized to do the work as specified. Payment will be made as outlined above.
You also acknowledge that this agreement contains limitations of liability, disclaimers or warranty, and
indemnification for third party claims as well as other provisions on the following pages of this agreement which
you acknowledge you have read, understand and accept as written.

I.Limited Warranty:
A.Security Control Systems, Inc. warrants that it will repair or replace any defective ponion of the system for a period of one (I)
year from the date of installation. This warranty applies only to labor and materials provided by Security Control Systems, Inc.
or its sub-contractors. To obtain repair or replacement, you must give Security Control Systems, Inc. service department notice
of the claimed defect.
B.Security Control Systems, Inc. has not elected to establish any infonnal dispute settlement mechanism under the Magnuson
Moss Warranty Federal Trade Commission Improvement Act, 15, U.S.C. 230 I, et, seg.
C.Disclaimer of other warranties: You understand that other than the limited warranty provided herein, Security Control
Systems, Inc. makes no other warranties, express or implied, with period of the limited warranty herein.
D. You acknowledge that Security Control Systems, Inc. will not be liable for incidental or consequential damage arising
from any failure of the system or breach of warranty hereunder.
2. Third Party Claims: You agree to indemnify, defend, and hold Security Control Systems, Inc., its agents, and employees hannless against
any claims, lawsuits or losses assened or sustained by person other than you which are alleged to have been caused by Security Control
Systems, Inc. performance hereunder, except for those resulting solely and directly from the actions of a Security Control Systems, Inc.
employee while on your premises.
3. Protection for Third Parties: You obligations under this agreement shall extend to any person contributing labor, materials, or any other
services to you or on the behalf of Security Control Systems, Inc.
4. Modifications and Subsequent Services: You understand that the tenns of this agreement shall apply to any pans or materials, monitoring,
maintenance, labor, or other services provided prior to, during or after the term of this agreement until a new agreement has been signed by the
panies which includes and governs such pans, materials, and labor.
5.Work on System Performed bv People Other than Security Control Systems, Inc: Client understands that any work performed by others
on any system covered by this agreement releases Security Control Systems, Inc. from any and all liability arising from clients relationship with
Security Control Systems, Inc.
6.Attorneys Fees and Costs: Security Control Systems, Inc. shall be entitled to recover all costs and expenses, including reasonable
attorney's fees, which arise out of or with respect to the enforcement of Security Control Systems, Inc. rights against you under this agreement.
7.Delays and Interruptions: Security Control Systems, Inc. shall not be liable 10 you for delays or interruptions in the services provided
herein that are caused by events beyond Security Control Systems, Inc. control.
8.Monitoring: If the system(s) listed herein are to be monitored by Security Control Systems, Inc. or a central station hired by Security
Control Systems, Inc. you understand that, upon receipt of a signal, Security Control Systems, Inc. and its agents sole responsibility is to use
its best efforts to notify you and the applicable authority in accordance with its standard monitoring procedures. You understand that your
telephone line integrity is crucial to Security Control Systems, Inc. or a central station hired by Security Control Systems, Inc., ability to
receive your alarm signals. Should your telephone line be cut or otherwise rendered inoperative, no alarm signals will be re ceived by Security
Control Systems, Inc. or a central station hired by Security Control Systems, Inc., and a loss could occur.
9. Your Responsibility: You agree that you are solely responsible to:
A.Provide Security Control Systems, Inc. with, and keep up to date, a list of individuals who can be contacted and who will be
available to respond to your premises.
B.Properly operate the system and not interfere with, misuse or otherwise abuse the system in any way.
C.Ann, disann and otherwise test the system at least monthly and repon improper operation to Security Control Systems, Inc.
10. Right to Discontinue Service: Security Control Systems, Inc. shall have the right to discontinue any services provided hereunder and
tenninate this agreement without notice, if it has been detennined, in its sole reasonable discretion, that conditions at your premises or events
beyond the control of Security Control Systems, Inc. make it impractical, impossible, or too financially uncenain to continue.

11.General: This agreement is not binding until signed by an officer of Security Control Systems, Inc. This agreement together with any
Lease agreement or Protective Signaling System Monitoring Agreement signed by the parties constitutes the entire agreement between the parties
and no other oral or written understand shall be binding on either party. The tenns of this agreement control any conflicting terms in your
purchase order or other document regardless of their date of issue. Should any provision of this agreement be held illegal, invalid, or
unenforceable to any extent, the remaining provisions shall remain in full force and be held as valid, binding, and continuing.
12. Facsimile Documents: When signed by you this agreement is binding whether delivered to Security Control Systems, Inc. in person, by
messenger, postal service, or facsimile transmission. You and Security Control Systems, Inc. Agree that a facsimile transmission is a written
communication and constitutes a legal and binding agreement that is equivalent in aspects to the original document.
13. Contractual Limitation of Action: All claims, actions or proceedings, legal or equitable, against Security Control Systems, Inc. or their
representatives must be commenced in court within one (I) year after the cause of action has accrued, without judicial extension of time, or said
claim, action or proceeding is barred. Time is of the essence of this paragraph.
14.Jurisdiction: You agree that the laws of the State of Minnesota shall govern this agreement and you consent to jurisdiction in the applicable
State or Federal courts in Minnesota for the resolution of all disputes arising out of this agreement.
