JOINTPOWERSAGREEMENT
37thAVENUENORTHEASTIMPROVEMENTS
5THSTREETNORTHEASTTOCENTRALAVENORTHEAST
THISAGREEMENTismadeasofthe_____dayof_____,20ϮϬbyandbetweentheCityof
ColumbiaHeights,Minnesota(“ColumbiaHeights”),andtheCityofMinneapolis,Minnesota
(“Minneapolis”)bothMinnesotamunicipalcorporations.
WHEREAS,ColumbiaHeightsandMinneapolisshareacommonboundaryandwishto
undertakestreetimprovementprojectson37thAvenueNorthEastfrom5thStreetNorthEast
toCentralAveNorthEast;and
WHEREAS,theimprovementsconsistofbituminousstreetresurfacing,asͲneeded
concretecurbandgutterreplacements,andtheconstructionofnewpedestrianrampsonthe
Minneapolisside(southside)on37thAvenueNorthEastfrom5thStreetNorthEasttoCentral
AveNorthEast
WHEREAS,Minn.Stat.§471.59providesforthejointexerciseofcommonorsimilar
powersbygovernmentalunitsandalsoprovidesthatanyonegovernmentalunitmayperform
onbehalfofanothergovernmentalunitanyserviceorfunctionwhichthatunitwouldbe
authorizedtoperformforitself.
NOW,THEREFORE,byvirtueofthepowersgrantedbylawandinconsiderationofthe
mutualcovenantsandagreementsofthepartieshereto,itisagreedasfollows:
1.Minneapoliswillperformtheresurfacing,curbandgutterreplacements,andpedestrian
rampconstructionasapartoftheir2020resurfacingprogram.Representativesfrom
ColumbiaHeightswilldeterminetheextentofcurbandguttertobereplacedonthe
northside.
2.Minneapoliswillmanagetheproject.ColumbiaHeightswillauthorizetheirparticipation
intheprojectthroughactionoftheirCityCouncilandbytheirexecutionofthis
Agreement.
3.Constructionengineering,includingcontractadministration,staking,construction
inspectionandmaterialstestingshallbeperformedbyMinneapolis,ortheir
representative.
4.ThematerialtestingwillbeperformedasdetailedinAttachmentC.
5.AnyconcernsbyColumbiaHeightsregardingtheprogressoftheconstructionworkshall
beimmediatelybroughttotheattentionoftheconstructionengineerforMinneapolis,
LarryMatsumotoorhisdesignee.AnyconcernsbyColumbiaHeightsregardingthe
progressoftheagreement,process,andadministrationoftheworkshallbe

immediatelybroughttotheattentionoftheprojectengineerforMinneapolis,Chris
DeDene.
AllcostsontheColumbiaHeightssideshallbetheCityofColumbiaHeights’costs.The
ColumbiaHeightscostparticipation(construction,constructionadministrationand
otheradministrativeexpensesrelatedtotheproject)willnotexceed$186,550,except
byapprovalintheformofanamendmenttothisagreementauthorizedbytheColumbia
HeightsCityCouncilandexecutedbybothparties.
ColumbiaHeightsintendstoapplyforMunicipalStateAidStreetfundsforworkonthe
northhalfof37thAvenue.MinneapoliswillprovideColumbiaHeightswithrequired
informationanddocuments,exclusiveofconstructionplans,toobtainaMunicipalState
AidForceAccountAgreementandreimbursementfromStateAidfortheworkdoneby
Minneapolisforces.
ThepartiesagreethattheCityofMinneapoliscostsshowninAttachmentBarean
estimate.
6.ThefinalCityProjectconstructioncostswillbebasedontheactualexpensesincurred.
Finalcontractpaymentshalloccuronlyafterfinalwrittenacceptanceofthe
improvementsbytheCityauthorizedrepresentativeofeachCity.
Minneapoliswillprovidedocumentationofpassingmaterialstestingresultsforconcrete
andasphaltplacedintheColumbiaHeightsrightofway.Thesedocumentswillbe
reviewedandacceptedbyColumbiaHeightspriortofinalacceptanceofthework.
ColumbiaHeightswillreimburseMinneapolisfortheactualconstructioncostsofthe
ColumbiaHeightsportionoftheprojectplus8%.Theadditional8%isforthefollowing:
design,inspection,materialtesting,contractadministrationandotheradministrative
expensesassociatedwiththeColumbiaHeightsportionoftheproject.Anycosts
associatedwiththeworkrequiredforMinneapolisportionoftheprojectshallnotbe
includedinthisreimbursement.ColumbiaHeightsshallreimburseMinneapoliswithin
30daysofreceivingtheinvoice.Minneapolisshallmanageanddocumentthesecoststo
GovernmentalAccountingStandardsBoard(GASB).PaymenttoMinneapoliswillbe
madefromtheCityofColumbiaHeightsprojectfund415Ͳ51907.
7.Records–Availability/Access.SubjecttotherequirementsofMinnesotaStatutes,
Section16C.05,Subd.5(asmaybeamended),MinneapolisagreesthattheState
Auditor,theLegislativeAuditor,ColumbiaHeights,oranyoftheirdulyauthorized
representatives,atanytimeduringnormalbusinesshours,andasoftenastheymay
reasonablydeemnecessary,shallhaveaccesstoandtherighttoexamine,audit,
excerpt,andtranscribeanybooks,documents,papers,records,etc.,whichare
pertinenttotheaccountingpracticesandproceduresofMinneapolis,butonlytothe
extentthattheyrelatetothisAgreement.Suchmaterialsshallbemaintainedandsuch
accessandrightsshallbeinforceandeffectduringtheperiodofthisAgreementandfor
six(6)yearsafteritsterminationorcancellation.

8.Eachpartyagreestodefendandindemnifytheother,itsofficers,agents,and
employees,forclaimsarisingoutofitsconductorresultingfrombreachofthis
Agreement.Nothinghereinshallbedeemedawaiverbyeitherpartyofthelimitations
onliabilitysetforthinMinnesotaStatutes,Chapter466.
9.EachCityrepresentsthatitsgoverningbodyhasdulyauthorizedtheexecutionand
deliveryhereof,andthatuponsuchexecutionanddelivery,thisAgreementwillbe
bindingasagainstsuchparty.
10.ThisAgreementconstitutestheentireagreementofthepartiesonthematterrelated
hereto.ThisAgreementshallnotbealteredoramended,exceptbyagreementin
writingsignedbythepartieshereto.IfanyprovisionofthisAgreementshallbeheld
invalid,illegal,orunenforceablebyanycourtofcompetentjurisdiction,suchholding
shallnotinvalidateorrenderunenforceableanyotherprovisionhereof,andthe
remainingprovisionsshallnotinanywaybeaffectedorimpairedthereby.This
Agreementmaybesimultaneouslyexecutedinseveralcounterparts,eachofwhich
shallbeanyoriginalandallofwhichshallconstitutebutoneandthesameinstrument.
ThisAgreementshallbeconstruedinaccordancewiththelawsoftheStateof
Minnesota.
11.ThisAgreementshallterminatewiththeexpirationoftheprojectwarranties,orone
yearaftertheagreementdate,whicheverislater.

City material testing requirements within City of Minneapolis right of way
City of Minneapolis material testing requirements for all private and non-private projects that
affect the city right of way shall be performed as per City of Minneapolis Standard Specifications
and MNDOT Schedule of Materials Control.
The following order of precedence applies:
1.City of Minneapolis Standard Specifications
2.MNDOT Schedule of Materials Control.

The Schedule of Materials Control is the absolute minimum required, with the following
amendments:
Soils and Aggregate Base
As far as Gradation:
For imported material from known sources (that are not changing as the project proceeds) such as
Select Granular Borrow/Aggregate Base Class 5, etc.: One gradation per material source per
project is required.
As for Densities:
A standard “short” City of Minneapolis block is approximately 330’ centerline to centerline. The
standard “long” City of Minneapolis block is approximately 660’. The testing requirements will
be based on a block system. Hence, the testing location frequency is two locations per short block
and four per long block.
Conduct a density test at a rate of one random location within every 165’ for each two feet of the
backfill material (for example, an 8-foot-deep excavation should have 4 passing density tests at
each test location). If used, correlate the nuclear density gauge with a sand cone density and
moisture content at a rate of once per project. The nuclear gauge needs to be within 3lbs of a
sand cone test and 2% moisture of a conventional moisture test. (MnDOT Lab Manual 1003).
For aggregate base, conduct a DCP test at a rate of one random location within every 165’.
The top of all base and subbase layers whose compacted area is greater than 12’ x 300’ shall be
test rolled at the discretion of the Engineer.
At intersections of routes designated as Snow Emergency routes, conduct one additional set of
density and DCP testing within the intersection.
As for Proctors:
Proctor testing is conducted to correspond to the material found on site, imported materials, and
the density requirements above. One proctor per material per project is required.
Concrete Base and Curb and Gutter
Slump, Air Contents and Cylinders will be performed with every concrete pour on items that will
ultimately become the property of the City of Minneapolis. Conduct these tests at a rate of one set
per 100 CY of concrete per day per type of concrete.
The first batch ticket per mix per day must be certified (signed) by the concrete plant.
Asphalt
One full asphalt test per 4,000 Ton per day is required to be performed (%AC, max. density, bulk
specific gravity, gradation, FAA, CAA).
After the asphalt placement perform mat density cores per MNDOT specifications 2360.D. This
is required in order to verify the compacted mat density.
Passing tests are required for all areas tested. Failing tests must be repeated after corrective action
has been taken.
All the material testing reports will be sent weekly to Chris DeDene via email at
chris.dedene@minneapolismn.gov
At the end of the project a full testing report file will be delivered to the City of Minneapolis for
the project archive.
