CONTRACT USERS. This Contract is available to State agencies and to members of the State's Cooperative Purchasing
Venture (CPV) program.
STATE AGENCY CONTRACT USE. This Contract must be used by State agencies unless a specific exception is
granted in writing by the AMS listed above.
STATE AGENCY ORDERING INSTRUCTIONS. Orders are to be placed directly with the Contract Vendor. State
agencies should use a Contract release order (CRO) or a blanket purchase order (BPC). The person ordering should
include his or her name and phone number. Orders may be submitted via fax.
CONTRACT FEEDBACK. If these commodities or service can be better structured to help you with your business needs,
let us know. We solicit your comments and suggestions to improve all of our contracts so that they may better serve your
business needs. If you have a need for which no contract currently exists, or you would like to be able to use an existing
state contract that is not available to your entity, whether a state agency or CPV), please contact us. If you have specific

SPECIAL TERMS AND CONDITIONS AND SPECIFICATIONS.
SCOPE. This is a Contract for the rental of all- weather entrance mats for State agencies and Cooperative Purchasing
Venture (CPV) members.
PRICES. Prices are firm through the initial period of the contract. After that period, prices may increase once a year.
Price increases are not effective until they are approved by the AMS. NOTE: At no time should the ordering entity pay
more than the Contract price. Agencies must contact the AMS immediately and fill out a Vendor Performance Report if
there is a discrepancy between the price on the invoice and the Contract price.
FREIGHTISHIPPING CHARGES. Deliveries are FOB Destination, with freight/shipping charges prepaid by the Contract
Vendor and included in the price. No other charges will be allowed.
DELIVERY AND SERVICE REQUIREMENTS.
Deliveries to State agencies or Cooperative Purchasing Venture (CPV) members may be weekly, every other week, or
monthly. Delivery schedules will be determined by each ordering State agency or CPV member. Entrance mats shall
be set -in place on a scheduled basis. The State reserves the right to "quit for the season ", if it is to the best interest to
the State.
If an entrance mat is removed from an authorized location by unauthorized personnel, the State or CPV members shall
pay the replacement cost as specified on the price schedule.
REVISION
11/08/17 Contract extended through January 31, 2019, at the same prices, terms, conditions and specifications.
09/01/17 Added urinal mats to contract. All other prices, terms and conditions remain the same.
08/04/17 Added pricing instructions to contract release.

Description: Indoor, dust control. High - twist, heat -set nylon yarn constructions resists packing and crushing.
Dirrt filters into the mat rather than remaining on top. Mat is static dissipative with StainStopperTm Tecnology.
Yarn -dyed with Perma -Dye Tm dying technology for vibrant color.
100% NitrileO rubber backing for increased slip and skid resistance. Launder -able.

ADDITIONS TO THE CONTRACT. During the life of the Contract, similar or like items and locations may be added
to the Contract, if it is to the best interest to the State. Items added to the Contract, or changes to the Contract may
only be made upon the mutual agreement of the Materials Management Division and the Contract Vendor in
a fully executed amendment to the Contract.
FUNDING OUT CLAUSE. Notwithstanding any other cancellation clauses, the State may immediately terminate this
Contract if it does not obtain funding from the Minnesota Legislature beyond June 30, or from another funding source, or if
funding cannot be continued at a level sufficient to allow for the payment of the goods or services in the Contract, whether
due to a lack of direct funding or agency reallocation of funding, or if operations of any paying entity are being
discontinued. The State must provide the Contract Vendor with notice within a reasonable time after the decision is made
to terminate the Contract. Termination will be by written or fax notice to the Contract Vendor. The State is not obligated to
pay for any goods or service accepted or provided after notice and effective date of termination. However, the Contract
Vendor will be entitled to payment for goods or services accepted or satisfactorily performed up until the effective date of
the termination. The State will not be assessed any penalty if the Contract is terminated in accordance with this section.
VERIFYING THE CONTRACT PRICES.
The following information explains the method for calculating and /or confirming the contract prices.
The Contract was executed with FIXED PRICING. The pricing offered must match or be lower than that detailed herein.
Only accept contract vendor quotes that provide itemized contract pricing (lump sum price quotes must be
rejected and reworked by the Contract Vendor to show itemized State contract pricing).
Prior to accepting an order and /or issuing payment on an invoice, inspect the goods and /or deliverables to
ensure they match both the terms and pricing of the contract.
Contact the AMS /Buyer detailed herein to report any pricing discrepancies or for assistance in confirming /calculating
contract pricing.
