THIS AGREEMENT is made the day of . &ri. � 1 . 20 by and between the Mississippi
Watershed Management Organization, a Minnesota joint powers organization (hereinafter
"MWMO ") and the City of Columbia Heights (hereinafter "Grantee ").
1.1. The MWMO has established the Stewardship Fund to extend the MWMO's ability to protect
and improve water quality, habitat and natural resources through partnerships and by
providing financial assistance for community - initiated activities that fulfill the program's
goals.
1.2. Grantee has submitted the attached application (hereinafter the "Final Application "), which is
made a part of this Agreement, to the MWMO for funds to pay for the project or program
described in the attached Exhibit A. which is made a part of this Agreement.
1.3. The M�VMO has determined that the project or program is consistent with the goals for which the
Stewardship Fund was created.
1.4. The ].VAVNfO is willing to fund the activities described in Exhibit A and in the Final Application in
accordance with the terms of this Agreement.
2. SERVICES
2.1. Grantee will perform the services described in Exhibit A and in the Final Application in
accordance with the schedule set forth in Exhibit A.
2.2. Following completion of the services described in Exhibit A and in the Final Agreement,
Grantee will submit all final deliverables to the MWMO, as described in Exhibit A

3.1. The maximum amount of the grant to be paid to Grantee will be $ 3000.00. Fifty percent of
the maximum amount will be paid upon signing of this Agreement. Remaining funds will be
reimbursed at the end of the project, up to the maximum amount of this grant or the
maximum total amount of reimbursable expenses incurred by Grantee, whichever is less. All
other costs incurred by Grantee in connection with performance of Grantee's obligations
under this Agreement will be the responsibility of Grantee. Grantee will submit requests for
payment along with a list of all expenses incurred and copies of all receipts and invoices
related to the project. Requests for reimbursement shall be submitted using the MWMO
reimbursement form. Expenses incurred prior to the MWMO's signature date are not eligible
for reimbursement. Reimbursement will be made only for expenses identified as
reimbursable on Exhibit A. The MWMO will make final payment within 60 days of a request
for payment accompanied by the required financial information.
4.1. Amendments. An amendment to this Agreement or Exhibit A must be in writing and
executed by the MWMO and the Grantee.
4.2. Independent Contractor. Grantee will act in all respects as an independent contractor
under this Agreement and will be solely responsible for performance of services required
hereunder as well as the means and manner of performance thereof. The MWMO will not
be an employer, partner, or co- venturer with Grantee for any purpose, and will have no
responsibility or liability for the acts or omissions of the Grantee. Nothing herein authorizes
Grantee to act as an agent or representative of the MWMO for any purpose whatsoever.
4.3. Ownership and Use of Work Product and Purchased Pro -pe - . Except as provided in
Exhibit A. all data, notes, working papers, reports and other work products produced in
fulfilling the Grantee's obligations under this Agreement thereinafter "Work Product ") shall
become, upon creation, the exclusive property of the MWMO. The Grantee may not use the
Work Product or any other deliverables under this Agreement for any purpose other than
fulfilling its obligations under this Agreement without the prior written consent of the
MWMO. The MWMO may grant or deny the Grantee's application for such consent or may
condition its consent on the payment of compensation or the imposition of such other
conditions as the MWMO deems appropriate. Except as provided in Exhibit A property
purchased with grant funds will become the property of the MWMO.
4.4, Naming Rights and Acknowledgments. MWMO shall, except as provided in Exhibit A,
have its name and logo represented in the materials that are developed and will be

acknowledged in printed materials, publications, presentations and other uses and
materials developed under this Agreement. The MWMO logo and acknowledgments will be
utilized according to the MWMO Corporate Identity Graphic Standards and direction of the
MWMO Communication and Outreach staff or the Executive Director.
4.5. Conflict and Priority. To the extent of any inconsistency between this Agreement, the Final
Application and Exhibit A. - Exhibit A will control over this Agreement and this Agreement
will control over the Final Application.
4.6. Compliance with the Law. The Grantee agrees to abide by the requirements and
regulations of The Americans with Disabilities Act of 1990 (ADA), the Minnesota Human
Rights Act (Minn. Stat., Ch. 363), and Title VII of the Civil Rights Act of 1964. These laws deal
with discrimination based on race, gender, disability, and religion, and with sexual
harassment. In the event of questions from the Grantee concerning these requirements, the
MWMO agrees to promptly supply all necessary clarifications. Violation of any of the above
laws can lead to termination of this Agreement.
4.7. Audits. The Grantee agrees that the MWMO, the State Auditor or any of their duly
authorized representatives, at any time during normal business hours and as often as they
may reasonably deem necessary, shall have access to and the right to examine, audit,
excerpt and transcribe any books, documents, papers, and records that are relevant and
involve transactions relating to this Agreement.
4.8. Grantee's Insurance. In order to protect the MWMO, the Grantee and the public and to
meet Grantee's obligations under this Agreement, the Grantee agrees at all times during the
term of this Agreement and beyond such term when so required, to have and keep or cause
to have and be kept in force, and to cause all contractors and subcontractors to do likewise,
to carry insurance coverages sufficient to cover risks associated with its activities under this
Agreement.
4.9. Indemnification. The Grantee agrees to defend, indemnify and hold harmless, the MWMO,
its officials, officers, agents and employees from any liability, claims, causes of action,
judgments, damages, losses, costs, or expenses, including reasonable attorney's fees,
resulting directly or indirectly from any act or omission of the Grantee, its contractors or
subcontractors or anyone directly or indirectly employed by them, or anyone volunteering
for them, or any party that directly or indirectly benefits from the activities specified in this
Agreement, or anyone for whose acts or omissions they may be liable in the performance of
the activities specified in this Agreement and against all loss by reason of the failure of the
Grantee to perform fully, in any respect, all obligations under this Agreement. If Grantee is a
"municipality ", as defined in Minnesota Statutes, Section 466.01, this agreement to

indemnify the MWMO shall not be deemed a waiver by either parry of the limits on liability
set forth in Minnesota Statutes, Chapter 466.
4.10. Cancellation and Revocation. The MWMO may cancel this Grant Agreement for just cause.
Just cause means that the Grantee is not disbursing funds in accordance with established
procedures, or has otherwise breached a term of this Agreement. The Grantee will be given
written notice 14 calendar days prior to cancellation. Such notice shall be by certified mail
addressed to the Grantee's Primary Contact as designated in Exhibit .A, of this Agreement.
Additional secondary contacts may be designated in Exhibit A. The cancellation shall be
effective on the beginning of the 15a' day after such notice is mailed unless an agreement of
a cure for the breach is reached within such 14 -day period or the MWMO's authorized
representative allows an extension in writing. The Grantee may cancel this Grant
Agreement with or without cause. In the event of cancellation by the MWMO or the
Grantee, the Grantee is entitled to payment, determined on a pro rata basis, for work
satisfactorily performed, and the remaining grant funds must be returned to the MWMO
within thirty (30) calendar days.
4.11. Term of Agreement. This Agreement will be effective when all necessary approvals and
signatures have been obtained, and will terminate one year after such date or the date all
obligations have been satisfactorily fulfilled by both parties, whichever comes first.
4.12. Notices. Any notice or demand authorized or required under this Agreement shall be in
writing and shall be sent to the other party as follows: 1) by certified mail for Cancellation
and Revocation, as described in Section 4.10; and 2) by electronic or regular mail for all
other communications.

Project Title: Watershed Trash Can Mural Project

1. General Description of Project [paragraph 1.21
The Trash Can Mural Project will be a public art project with a mission to create functional, public
artworks which enhance the urban landscape and empower communities to protect the
environment through education and action. In this pilot project, two trashcan mural sites will be
tested along Central Avenue to engage bus riders, others using the adjoining sidewalks and
surrounding businesses. These sites are in close proximity to fast -food establishments and an area
that is often littered and appears unattended, as well as along a stretch of roadway where drivers
pass without engaging in the community. The sites will be located in Columbia Heights, MN at:
• the NE corner of the intersection at 45th Ave NE and Central Ave NE (4501 Central Ave NE)
• the NE corner of the intersection at 46tt, Ave NE and Central Avenue (4601 Central Ave NE)
The Trash Can Mural will be built as a rectangular box, large enough to house a 55 gallon,
industrial strength, waste container and designed to allow maintenance crews to easily empty the
waste container. The trashcan mural will include water - related images and messages that engage
audiences in preventing trash from entering stormdrains to protect water quality in the

Mississippi River. Information on the trashcan mural site will guide audiences to web content
where they can gain additional educational information about watersheds, how to protect water
bodies, links to MWMO content and more. Analytic data from the website will be tracked to
measure community engagement.
The artist will also engage the community in workshops about watersheds, rainscaping, and green
spaces and how these align with the focus of the Southern Anoka County Water Art Competition
(a 2017 Master Water Steward Capstone project). Participants will also learn about the trashcan
mural project during these events.
This project's goals are to:
• help to end the litter that is polluting our waterways
• serve as a positive shared public space virtually and physically, along Central
Avenue
• humanize the urban environment
• provide the community with an environmental perspective and determination to
protect our watersheds
• empower the community with a sense of ownership for their environment, and
• create an enhanced perception of Columbia Heights and Central Avenue
Partners on this project include the City of Columbia Heights Community Development
Department, City of Columbia Heights Public Works Department, artist Rebecca Krueger,
HeightsNEXT, and the Minnesota Department of Transportation.

At least 3 high - resolution digital photos to show each trashcan mural waste container,
all images on them, and their placement within the context of the surrounding area.
Please provide photos of the project site before and after installing the trashcan murals.
Photos should be taken from an identical or nearly identical vantage point and include
the larger context of the property. Tip: to help show context, take your photos in a
landscape orientation rather than a portrait orientation.
2. Copies of, or digital links to, social media, website content, press releases or other public
communications related to the project.
3. Drawing with measurements and key design and image features of finalized Trash Can
Mural waste container.
4. Short summary (one page or less) about results of project including the following;
a. Outcomes of public engagement strategies that were employed during the pilot
project. These could include the art workshops, website, meetings or other
strategies.

We chatted about this yesterday, that since the approved (MNDOT) locations on Central have changed that we needed
to resubmit the Miscellaneous ROW permit. I talked with Buck and he is fine with just attaching the new proposed
locations (attached) to the original permit. Below is what he sent back for our documentation. Will this suffice? Also, do
you need me to resubmit a copy of this e -mail with the signed contract?

Hi Buck,
Thank you for reviewing the updated locations for the decorative trash receptacles. As i understand from our
conversation yesterday, we do not need to resubmit the Miscellaneous ROW permit. The person designing and installing
these trash cans is receiving a grant from the Mississippi Watershed Management Organization (MWMO). The MWMO
is requesting a letter or e -mail from MNDOT stating that you have approved the two new locations (attached). They
need this for their documentation on the grant funds, since the original approved permit states two different locations.
When you have a chance, can you send something over to the effect that you have approved the new locations and will
be attaching the new locations to the original approved MNDOT permit?

This permit authorizes the applicant to install two garbage cans located on TH 65 at 44 (h & 45th
Ave in the city of Columbia Heights as shown on applicant's plan sheet(s).
Any lane closures shall be approved by this office at 651-234-7919, 24 hours prior to the lane
closure. The hours of the lane closure shall be determined by this office.
All persons while performing authorized work on Mn/DOT Right of Way shall be required to wear a
Mn/DOT approved High Visibility Vest and Soft Cap/Hard Hat. Any authorized night work
requires all personnel to wear a Mn/DOT approved full night safety suit (pants and jacket).
