backpacks, on behalf of their partner Thrivent Financial.

Mayor Peterson read the proclamation. Councilmember Williams thanked Chief Nadeau for the positive

The following items were removed for discussion:
D. Authorization to Seek Bids for 2016 Sanitary Sewer Pipe Lining Project
Director of Public Works Kevin Hansen reported that Public Works annually budgets approximately $165,000
for sewer pipe lining to address pipe deficiencies. Utility crews televise and inspect 16,000 — 20,000 feet each
year. From these reports, a determination is made regarding pipe conditions. Along with a history of plugged
sewers and /or backups, a determination is made for which pipe segments would benefit from pipe lining. In
addition, during 2014 and 2015, staff has been concentrating the lining program in District 3. District 3
extends from Reservoir Boulevard to Stinson Boulevard between 37th Avenue and 49th Avenue.
Councilmember Nawrocki questioned if there are any assessments associated with the project. Hansen stated
there are not. Councilmember Schmitt asked if this is the area we were being penalized from the MCS I & I
program. Director Hansen reported that was in Collection District 2, and currently the entire city has had
surcharge events.
Motion by Councilmember Murzyn, Jr., seconded by Councilmember Nawrocki to authorize staff to seek bids
for the 2016 Sanitary Sewer Pipe Lining Project to continue lining pipe in District 3. All Ayes, Motion Carried.
E. Authorize Capital Equipment Replacement of Unit 0051
Director of Public Works Kevin Hansen reported this purchase has been budgeted for in the 2016 budget. This
unit would be used for detail finish work, seal coat, patching and alley work. Staff is recommending replacing
Unit #0051 with a new Bomag 900 -50 from Ruffridge- Johnson Equipment for a cost of $16,900. There are only
two dealers that offer the Bomag unit.
Motion by Councilmember Nawrocki, seconded by Councilmember Murzyn, Jr. to authorize the replacement of
Unit #0051 and the purchase of one (1) new Bomag BW 900 -50 Roller from Ruffridge- Johnson Equipment
Company, Inc. of Minneapolis, MN for a total cost of $16,900. Funding shall come from the Streets Capital
Equipment Fund 431 - 43121. All Ayes, Motion Carried.
F. Accept Change Order Package #2 for Library Package CP -2, City Project No. 1410
Director of Public Works Kevin Hansen reported work on the new library is 95% complete on CP -1, and the
building is progressing with an anticipated completion date of June 2nd. During the course of p review and
during construction some items have been changed, added or modified requiring a change order to the
respective contracts. General Contractor, Ebert Construction has three change orders totaling $94,207.
Fire Protection, Mechanical, Cool Air Mechanical, Inc. has a change order 10,659. Electrical, Peoples Electric
Co. has a change order of $26,253.
Councilmember Schmitt asked for a total cost of the fireplace? Director Hansen reported the total is $59,000.
Councilmember Nawrocki asked if we are still within the budgeted amount. Hansen stated we are within the
budget, and still have $425,000 in contingencies.
Motion by Councilmember Williams, seconded by Councilmember Schmitt to approve contract Change Order
Nos. 4, 5 & 6 for Library Bid Package CP -2, Project 1410, to Ebert Construction in the amount of $94,207.05 for
a new contract amount of $5,205,049.34. All Ayes, Motion Carried
Motion by Councilmember Williams, seconded by Councilmember Schmitt to approve contract Change Order
Nos. 3 for Library Bid Package CP -2, Project 1410, to Cool Air Mechanical totaling $10,659 for a new contract
amount of $958,515. All Ayes, Motion Carried
Motion by Councilmember Williams, seconded by Councilmember Schmitt to approve contract Change Order
Nos. 1 and 2 for Library Bid Package CP -2, Project 1410, to Peoples Electric totaling $26,253 for a new contract
amount of $820,906. All Ayes, Motion Carried

G. Adopt Resolution 2016 -46 Accepting Feasibility Report and Authorizing Cleaning and Lining of 4,874 Feet
of Water Main (Under The City Of Minneapolis 2016 Program) City Project No. 1603
Director of Public Works Kevin Hansen reported this is an annual program that we do cooperatively with the
City of Minneapolis.
Motion by Councilmember Nawrocki, seconded by Councilmember Murzyn, Jr. to waive the reading of
Resolution 2016 -46, there being ample copies available for the public. All Ayes, Motion Carried
Motion by Councilmember Nawrocki, seconded by Councilmember Murzyn, Jr. to adopt Resolution 2016 -46
which accepts the Feasibility Report for the 2016 Water Main Cleaning and Lining Program and orders the
Public Improvement for water main cleaning and lining of pipe totaling 4,874 lineal feet, under the City of
Minneapolis Cleaning and Lining program for 2016. All Ayes, Motion Carried
H. Market Wage Adjustments for Facility Maintenance Supervisor, Assistant Fire Chief, Assistant City
Engineer, and Police Captain.
Councilmember Nawrocki asked if the Facilities Maintenance Supervisor is a new position. Kelli Bourgeois,
Human Resource Director /Assistant to the City Manager reported that position has been in effect since 2009.
Councilmember Nawrocki stated that he had asked for a copy of the League of MN Cities salary survey, and is
still waiting for it. Bourgeois stated that information is not public, and has invited anyone to meet with her to
review the data, the average salaries for the 4 positions being considered were shared. Nawrocki again stated
he would like the public to be able to view the salary survey as well, noting he would not vote in favor of the
item without seeing the survey. Councilmember Murzyn, Jr. asked where the money will come from.
Bourgeois reported there are funds available due to turnover and vacancies. Bourgeois stated she has talked
to each Division Head, and there will be enough funds available through staffing changes to cover the
increases for 2016. Councilmember Schmitt asked if the union wages could be adjusted mid -year if requested.
Bourgeois stated a contract re- opener is possible; however it would be more likely to review union wages
during contract negotiations, as has been the practice. Bourgeois reported market adjustments are done on
union positions as well, noting most recently for Fire Fighters and Sergeants. Schmitt questioned when the
last adjustment was completed for the 4 positions being considered. City Manager Walt Fehst stated he does
not recall it being done for 3 of the 4 positions and the other was probably 10 -12 years ago.
Councilmember Schmitt expressed concern with city staff connecting names to the positions. Bourgeois
explained these are not performance based increases; they are market based adjustments. It was noted that
in order to attract quality candidates, it is important to be in -line with salaries.
City Manager Walt Fehst reported that adjustments have not been made in years, and we need to consider
increasing salaries in order to attract the best candidates. Councilmember Schmitt suggested incremental
increases. Ms. Bourgeois reported the largest proposed increase is about $1,200 /month.
Motion by Councilmember Nawrocki to table the item. Motion failed for lack of a second.
Bourgeois explained the data base is very large, and not something that can be printed for distribution.
Councilmember Schmitt asked if councilmembers could be provided with access to the online report. City
Attorney Jim Hoeft explained the Leagues report is proprietary information, and will not permit it to be
printed and distributed. City Manager Fehst suggested council contact Ms. Bourgeois if they are interested in
reviewing the data.
Motion by Councilmember Williams, seconded by Peterson to approve the proposed Market Wage
Adjustments for the Facility Maintenance Supervisor, Assistant Fire Chief, Assistant City Engineer, and Police
Captain effective June 1, 2016. 2 Ayes, 2 Nays, 1 Abstention. Motion Failed.
Ayes: Williams, Peterson. Nays: Schmitt, Murzyn, Jr. Abstention: Nawrocki.
I. Cable Equipment Upgrades and System Maintenance Agreement with Marco.
Human Resource Director /Assistant to the City Manager Kelli Bourgeois reported in the 2016 Cable Budget
$16,700 was budgeted for software and equipment upgrades including online application software and
hardware upgrades. The hardware would be purchased through Marco who is a state contract vendor. The
Marco quote also includes 16 hours of technical support plus travel time for a cost of $4,380.
Councilmember Schmitt asked who will be trained on the equipment. Ms. Bourgeois tightrope has conducted
training with the Assistant IS Director and administration staff, including the cable producer.
Councilmember Nawrocki questioned what will change from the current system. Bourgeois noted that many
of the changes will not be noticed by the public, it will be more dependable and secure.
Councilmember Schmitt asked if HD increased at the same rate is the SD options. Bourgeois confirmed that it
has increased as well. Councilmember Schmitt asked if portable equipment is an option, noting many events
would be nice to record. Bourgeois stated she has been talking with the cable producer looking for options.
Councilmember Schmitt suggested checking with the school district to see if they have equipment we could
borrow.
Motion by Councilmember Williams, seconded by Councilmember Schmitt to approve the purchase of
equipment as proposed in Marco Proposal # MARQ124687 -04 upgrading cable equipment for a total amount
of $25,225 and entering into a Service Maintenance Agreement with Marco for an amount not to exceed
$4,380.00. All Ayes, Motion Carried.
J. Annual declaration that the City of Columbia Heights does NOT waive the monetary limits on the
Municipal Tort Liability under Minnesota Statues, Section 466.04.
Finance Director Joe Kloiber reported the LMCIT requires governments to determine if they will waive or not
waive the state's tort limits. Councilmember Nawrocki asked for a definition of tort limits. City Attorney Jim
Hoeft explained it refers to civil action against the City. The tort limits provide a cap on claims.
Motion by Councilmember Nawrocki, seconded by Councilmember Williams to declare that the City of
Columbia Heights does NOT waive the monetary limits on municipal tort liability under Minnesota Statutes,
section 466.04. All Ayes, Motion Carried.
8. PUBLIC HEARINGS
A. Second reading of Ordinance No. 1626, being and Ordinance amending City Code of 2005 relating to
automotive related uses within the City of Columbia Heights.
City Planner Elizabeth Holmbeck reported this is the second reading of the Ordinance. Staff is proposing
changes that would restrict where auto uses and government maintenance facilities can locate, define motor
vehicle parts stores, include motorcycle related uses and require a minimum lot size for any new auto related
development.
Councilmember Nawrocki requested an update regarding the properties on 39th between Quincy & Jefferson.
Ms. Holmbeck reported City Staff will be working with the Fire Department in June to address any of the
properties that are out of compliance. Mayor Peterson stated he has noticed some improvement in the area.
Motion by Councilmember Williams, seconded by Councilmember Murzyn, Jr. to waive the reading of Ordinance
No. 1626, there being ample copies available to the public. All Ayes, Motion Carried.

amending City Code of 2005 relating to automotive related uses within the City of Columbia Heights. All Ayes,
Motion Carried.

a. Website Redesign Provider Authorization
Keith Dahl, Economic Development Manager reported that in March City Council approved a resolution
that amended the 2016 budget appropriating additional funds in the amount of $25,000 to the Cable
Television Fund 225. The budget amendment was approved for the purpose of redesigning the City's
outdated website, but also to incorporate the City's new identity and logo.
Upon approval of the budget amendment, staff convened a small Steering Committee. Two website
redesign proposals were received from CivicPlus and Revize, both of which are governmental web
development specialists.
Invitations were extended to all City departmental staff that regularly use, update, and edit content on
the City's website as these individuals will be impacted the most by a website redesign. After much
discussion and review, the Committee has selected Revize as the preferred web development specialist.
Revize's low quote was a five year contract in the amount of $23,435 for the first year and a fixed annual
payment of $3,950 for the following four years, plus a free website redesign at the end of the fourth year.
The proposed timeline Revize submitted anticipates a redesigned website will go live within 15 -17 weeks
from the initial design meeting. If everything goes to plan, a new website could go live mid to late
September of this year.
Councilmember Nawrocki asked how this differs from the Marco contract. Mr. Dahl explained this is for
the website, Marco is for cable TV.
Councilmember Schmitt asked why only two proposals were considered. Dahl explained the City was
comfortable with two, as they are two of the largest providers. Dahl also noted we have a tight timeline,
because the current contract with CivicPlus expires November 11, 2016. Dahl explained the City's IS
department has certain specifications as well.
Councilmember Schmitt stated she is hesitant to vote for the item, as there are only two proposals.
City Manager Walt Fehst commented that city staff is comfortable with the layout and ease of use, noting
we could seek additional proposals if council chooses. Councilmember Nawrocki questioned why a
formal bid process was not followed. City Attorney Jim Hoeft explained that a formal bid or RFP are not
required due to the size of the project, and the fact that it is a professional services contract. City
Manager Walt Fehst commented that it is important to find a reputable company, which provides ease
for users.
Motion by Councilmember Williams, seconded by Councilmember Murzyn, Jr. to authorize and award the
contract for the City's website redesign to Revize Government Websites; and furthermore, to authorize the
City Manager to enter into a web service sales agreement.
Councilmember Schmitt stated she appreciates the two bids, however would have preferred more. She
also expressed concern with Revize's ability to keep us up to date in the future.
Councilmember Murzyn, Jr. made the comment that he has a high level of trust for our IS department's
recommendation.

Councilmember Nawrocki announced the VFW Post 230 will be having their annual Memorial Day Service on
Monday, May 30th at 11:00 AM, on the corner of 40th Ave and Mill St.
Councilmember Nawrocki asked for an update on the sale of the existing library. Nawrocki noticed there is not
a for sale sign on the building.
Councilmember Nawrocki expressed disappointment with the current newsletter, stating it looks mixed -up.
Councilmember Nawrocki reported the tree at 4660 Heights Drive looks awful. City Manager Fehst stated he
has followed up with the homeowner, and informed him he may be cited again.
Councilmember Schmitt invited the public to the Library Farewell planned for Tuesday, May 17th. There will be
a family event from 10:30 -Noon, with an evening event as well.
11. CITIZENS FORUM
Frost Simula -1700 49th Ave NE stated he has a background in software engineering as well as project
estimating. Simula commented that the proposal overall is very good; noting the WCAG 2.0 (accessibility)
guidelines were not included. It was also suggested that the QA portion should occur at the end of the
timeline.
12. ADJOURNMENT
Mayor Peterson thanked Bobby and Steve's Youth Foundation again for their generous donation to the All
America City fund. The Mayor reminded us to remember our service men and women, and our police officers
and fire fighters, and to keep them in our thoughts and prayers.

definition for Motor Vehicle Parts Stores, adds motorcycle repair,sales and rental as a permitted use in
certain districts,and requires a minimum lot size of one acre for all new Automobile Convenience
Facilities,all new Major and Minor Automobile and Motorcycle Repair Facilities,and all new and used

BACKGROUND: The City of Columbia Heights Jamboree will be held from June 23 through June 26 this year.
The carnival, operated by Family Fun Shows, Inc., usually arrives a day or two before the jamboree to set up,
which will require the closing of Jefferson Street on Tuesday afternoon, June 21. Staff is requesting permission
to close Huset Parkway from the alleyway on the north end of Huset Park to the south roundabout. Other
arrangements are made with various City departments, including the license application, payment of
necessary license fees and permits, and that the required damage deposits are submitted.
The annual Jamboree Parade will be held on Friday, June 24, 2016, beginning at 6:00 p.m. The parade route
will begin on Central Avenue at 45th Avenue to 40th Avenue; west on 40th Avenue to 5th Street and 5th Street to
Mill Street. Staff is recommending that the City Council authorize the Police Department to issue a parade
permit for the Jamboree Parade. Staff is also requesting to waive the Fire Department permit fees for firework
displays in the amount of $50.00.
RECOMMENDED MOTION(S): Move to authorize staff to close Huset Parkway for the time period from
Tuesday afternoon, June 21, through Sunday, June 26, 2016.
Move to authorize the Police Department to issue a parade permit for the Jamboree Parade to be held on

Background:
Unit #104 is a JCB 4x4 tractor backhoe loader with an extendable boom purchased in 1991 for $57,500. It is
equipped with Unit #167, a NPK hydraulic hammer that was purchased in 2000 for $10,000. This backhoe is
used extensively in the summer for the Water Main Cleaning and Lining project and in the winter for water
main break repairs. The unit is 25 years old with 6,027 recorded hours. Since July of 2001, which is as far as
the maintenance records go back, $52,600 has been spent on repair parts and labor. The Vehicle
Maintenance Supervisor has rated the mechanical condition as poor —it uses two quarts of oil between oil
changes and the outrigger cylinders are bent. It is also difficult, if not next to impossible, to locate parts for
this make and model of backhoe.
Unit #167 is a NPK hydraulic hammer that was purchased in 2000 and reconditioned in 2010. Total cost of
parts and labor since July of 2001 is $3,500.
The 2016 Capital Equipment Replacement budget allocated $122,580 for the replacement of Unit #104 and
Unit #167.
Analysis /Conclusions:
The JCB tractor backhoe loader and the NPK hydraulic hammer have given the city good service for 25 and 16
years. Both units were originally scheduled for replacement in 2010. The number of excavations city staff
conduct per year has increased significantly due to the ongoing water main cleaning and lining project that
began in 2005. The equipment has exceeded its cost - effective life.
Staff Recommendation:
Staff is recommending replacing Unit #104 and the attachment Unit #167 with a new Caterpillar model 430F2
IT tractor backhoe loader for a cost of $109,410 and model H75ES hydraulic hammer for a cost of $16,050
from Ziegler CAT of Minneapolis, MN.
RECOMMENDED MOTION(S): Move to authorize the replacement of Unit #104 and attachment Unit #167
with the purchase of one (1) new Caterpillar model 430F21T tractor backhoe loader and (1) new Caterpillar
model H75ES hydraulic hammer off the Minnesota State Purchasing contract from Ziegler CAT in the amount
of $125,460. Funding shall come from the Capital Equipment Fund.

At the council meeting on November 17, 2015 the City Council approved four Power Purchase Agreements
(PPA) for adding solar panels for electrical power generation at four (4) public buildings; Top Valu 1 liquor
store, the Public Safety Building, the Municipal Service Center, and the new Library.
Top Valu 1 was awarded a grant under the Made in Minnesota (MIM) Program. MIM is a state lottery based
system providing rebates for equipment made in Minnesota. The program is for smaller systems up to 40KW.
In the MIM program, there are minimal or no upfront costs to the City. A third party investor or developer
purchases and installs the systems and operates them within a specific timeframe: 10 years for MIM. The City
enters into a Power Purchase Agreement (PPA) with the third party for the program timeframe, projected with
a modest annual cost savings. At the end of the term, the ownership of the panels is turned over to the City
along with the full energy benefits. After 10 years the PPA concludes and the full energy benefits of the 40KW
system will provide more than $7,000 in electrical savings annually. Over time this will deliver significant
savings, realizing more than $92,000 over 20 years and over $156,000 in 25 years.
At the time of installation this spring, the developer approached staff requesting a change in the PPA related
exclusively to how they were funding the project. As originally proposed, the developer or Apex Efficiency
Solutions was going to self- finance the 40KW. Apex will now be utilizing both internal funds and bank
financing. The attached amendment adds the bank to the agreement as a lender. The loan is specific to partial
funding of the solar system at 4950 Central Avenue.
The City Attorney has reviewed the attached amendment. Staff recommends approval of Amendment No.1 to
the Solar PPA for 4950 Central Avenue NE.
RECOMMENDED MOTION(S): Move to approve the minor amendment to the Solar Power Purchase
Agreement dated November 17, 2015 with Apex Efficiency Solutions for Top Valu 1 located at 4950 Central
Avenue.

using a combination of internal funds and institutional funds (Community Pride
Bank). The financial institution as part of the funding requirements, requires the
ability to take over the PPA with the same terms and conditions to the City in the
event that Apex were to default to the financial institution. This document will
release funds to Apex for finalizing the project. There are no changes to costs,
schedule, terms or conditions to the City under the existing PPA.

AMENDMENT NO. 1 TO SOLAR PPA AT 4950 CENTRAL AVENUE NE.
THIS AGREEMENT REGARDING AMENDMENT ONE TO SOLAR PPA — 4950
CENTRAL AVENUE NE ( "Agreement ") is effective as of this day of
2016, and was executed by and between Community Pride Bank, a Minnesota corporation
( "Lender "); Apex Efficiency Solutions, SBC, a Minnesota special benefits corporation ( "Apex ");
and the City of Columbia Heights, a Minnesota municipal corporation ( "City ").
RECITALS
WHEREAS, Apex and the City have entered into a Solar Power Purchase Agreement
dated November 17, 2015 ( "Solar Power Agreement "). The Solar Power Agreement calls for the
City to purchase from Apex all of the energy to be generated by a 39.7 kW roof mounted solar
system ( "Solar Power System ") to be constructed and owned by Apex on property owned by the
City and located at 4950 Central Avenue N.E., Columbia Heights, MN 55421 ( "Project Site ").
WHEAREAS, Apex and the City have entered into a System Site Lease Agreement
( "Lease ") dated September 15, 2015, which Lease grants Apex the right to install, operate and
maintain the Solar Power System on the Project Site.
WHEREAS, Apex has requested that the Lender provide financing to Apex for the
purpose of partially funding the acquisition and installation of the Solar Power System ( "Apex
Loan ").
WHEREAS, the Lender has conditioned its willingness to provide financing to Apex on,
among other things, the following: (i) the granting by Apex to the Lender of a security interest in
the Solar Power System and any and all payments to be made by the City to Apex pursuant to the
Solar Power Agreement, (ii) the execution of a Collateral Assignment of Lease and Solar Power
Purchase Agreement ( "Collateral Assignment "), and (iii) the execution and delivery of this
Agreement by Apex and the City.
NOW, THEREFORE, in consideration of the above - recitals, and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto
agree as follows:
1. Acknowledgment of Security Interest. City hereby acknowledges that Lender
will be obtaining a security interest in the Solar Power System for the purpose of securing the
Apex Loan. City further acknowledges that the Lender will be taking a security interest in
Apex's right to receive payments from the City pursuant to the Solar Power Agreement. The
security interests will be created by a Security Agreement executed by Apex in favor of the
Lender and will be perfected by the filing of the following:
-) a UCC — 1 with the Office of the Minnesota Secretary of State, and
-) a UCC - 1 Fixture Financing Statement with the Anoka County
Recorder /Registrar of Titles Office.

The City also acknowledges that Lender will be obtaining the Collateral Assignment as
additional collateral for the Apex Loan.
2. Priority of Security Interest. The City hereby agrees that the Bank security
interest in the Solar Power System shall be, and is hereby declared to be, prior and superior to
any interest of the City in the Solar Power System. Without limiting the generality of the
foregoing sentence, the City agrees that any option it may have to purchase the Solar Power
System is hereby subordinated to any security interest that the Lender may now or hereafter hold
in the Solar Power System.
3. Collection Rights. If Apex defaults under the terms the Apex Loan, the Lender
shall have the right to exercise any and all rights that it may have under Minnesota law for the
purpose of collecting the Apex Loan, including, without limitation, the right to: (i) demand that
City pay all amounts due under the Solar Power Agreement directly to the Lender, (ii) repossess
and sell the Solar Power System in the manner provided by the Uniform Commercial Code, as
enacted in the State of Minnesota, and (iii) exercise its right under the Collateral Assignment.
4. Agreement Regarding Enforcement of Rights.
(a) In the event Apex defaults under the terms of the Apex Loan and such default is
not cured within any applicable grace or cure period, Lender will send notice of default to the
City along with a demand that all payments to be made under and pursuant to the Solar Power
Agreement be sent directly to the Lender. City agrees to honor such demand and send any and
all payments due on the Solar Power Agreement directly to the Lender. Lender will apply all
such amounts to the Apex Loan (including interest, principal, and costs of collection) in such
order of application as the Lender shall reasonably elect.
In the event Lender sends a demand for payment to the City, Apex agrees that all
amounts paid to the Lender by the City shall (in addition to being applied to the Apex Loan) be
applied in satisfaction of the City's obligations to Apex under the Solar Power Agreement.
(b) In the event the payments made by the City to Lender pursuant to subsection (a)
of this Section 4. are sufficient to prevent additional defaults from arising under the Apex Loan
and are sufficient to cure any then existing defaults within a reasonable amount of time, Lender
agrees that it will not seek to repossess the Solar Power System. However, if, in the Lender's
reasonable judgment, the payments to be made by the City to the Lender pursuant to the Solar
Power Agreement will not be sufficient to prevent additional defaults from arising under the
Apex Loan or will not be sufficient to cure any existing defaults within a reasonable amount of
time, then Lender may exercise its right to repossess the Solar Power System in accordance with
the provisions of Minnesota law.
(c) In the event Lender exercises its right to repossess the Solar Power System, the
City agrees that it will allow the Lender and its agents to (A) enter onto the City's property and
(B) take possession of, show and display to potential purchasers, administer, dispose of, sell and
otherwise deal with the Solar Power System. When exercising these rights, the Lender may sell

the Solar Power System after it is removed from the Project Site, or the Lender may sell the
Solar Power System in- place.
-) Removal. In the event the Lender elects to remove the Solar Power System,
Lender will be entitled to enter on to the Project Site for the purpose of removing
the Solar Power System. Lender shall have no obligation to pay rent to the City
and Lender shall have no obligation to repair or restore the Project Site, except
that Lender shall be obligated to repair any damages done in the removal of the
Solar Power System that are caused by the negligence or willful misconduct of
the Lender or its agents.
-) Sale In- Place. In the event the Lender elects to sell the Solar Power System in-
place, Apex and the City agree that the Lender shall have the right to enter on to
the Project Site for the purpose of showing the Solar Power System to potential
purchasers.
Lender shall also have the right (pursuant to the Collateral Assignment) to transfer
all of Apex's rights under the Power Purchase Agreement and Lease to the buyer
of the Solar Power System. In the alternative, at the sole election of the Lender,
the Power Purchase Agreement and Lease shall be rendered null and void by
reason of Apex's default under the Apex Loan and, in such event, the City agrees
that it will enter into a new power purchase agreement and lease with the buyer of
the Solar Power System. The new power purchase agreement and lease shall have
the same terms as the original Solar Power Agreement and Lease, except that such
new agreement and lease shall only run for the remaining term of the original
Solar Power Agreement and Lease.
(d) Lender shall give the City at least twenty (20) days notice of its intent to enter
onto the Property for the purpose of repossessing the Solar Power System or selling such system
in- place.
(e) The City agrees that the Lender shall not become obligated under the Solar Power
Agreement or Lease unless the Lender provides the City written notice that it has elected to
assume and perform Apex's obligations under those documents.
5. Prohibition on Removal. Apex and the City agree that they will not remove the
Solar Power System from the Project Site without the written consent of the Lender, which
consent may be granted or withheld in the Lender's reasonable discretion.
6. Reporting, Notice, Cancellation and Release.
(a) Apex hereby agrees that the Lender may provide the City with information
regarding the Apex Loan. In addition, Apex agrees that Lender may, and Lender agrees that it
will, provide City with any written notice of default served by Lender upon Apex in connection
with the Apex Loan; provided, however that the failure to do so shall not invalidate any actions
taken by the Lender by reason of such default.

(b) Apex hereby agrees that City may, and City agrees that it will, provide
information regarding the status of the Solar Power Agreement and Lease to the Lender within a
reasonable time of request therefor by the Lender. Apex further agrees that City may, and the
City agrees that it will, provide Lender with any written notice of default served by City upon
Apex in connection with the Solar Power Agreement or Lease.
(c) For purpose of allowing Lender and the City to make the disclosures set forth in
Sections 6 (a) and (b) above, Apex hereby releases and waives its rights under (i) any federal,
state or local privacy law, rule or regulation, and (ii) any privacy policy now or hereafter enacted
by the Lender or the City to the full extent necessary to allow the Lender and City to make the
disclosures.
(d) In the event of any act or omission by Apex that would give City the right, either
immediately or after the lapse of time, to terminate the Solar Power Agreement or Lease, City
agrees that it will not exercise any such right:
(1) until City has given written notice of such act or omission to Lender; and
(ii) until Lender has elected by written notice to City not to cure the default, or until
Lender has ceased to diligently proceed to cure the default.
(e) Assuming no action has been commenced by a trustee in bankruptcy or debtor -in-
possession to recover any payments previously received by the Lender, Lender agrees to release
its security interest in the Solar Power System (and the payment stream generated thereby) ninety
(90) days after the full payment of Apex Loan.
7. Notices. All notices required or allowed by this Agreement shall be deemed to
have been given if hand delivered or mailed by certified mail, return receipt requested, to the

8. Miscellaneous.
(a) This Agreement shall inure to the benefit of and shall be binding upon Lender,
City and Apex, and their respective heirs, personal representatives, successors and assigns.
(b) In the event any one or more of the provisions contained in this Agreement shall
for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity,
illegality or unenforceability shall, at the option of the Lender, not affect any other provision of
this Agreement, but this Agreement shall be construed as if such invalid, illegal or unenforceable
provision had never been contained herein.
(c) This Agreement shall be governed by and construed according to the laws of the
State of Minnesota.
(d) This Agreement supersedes any inconsistent provision of the Solar Power
Agreement and Lease.
(e) Nothing contained in this Agreement shall be construed to derogate from or in
any way impair or affect the lien and charge or provisions of the Lender's security interest.
(f) Lender shall have no obligation and shall not incur any liability with respect to
any warranties relating to the Solar Power System, including, without limitation, any warranties
respecting use, compliance with zoning, or fitness for purpose or possession.

STAFF RECOMMENDATION:
Adopt Resolution 2016 -47, 4744 4th Street N.E., being declarations of nuisance and emergency abatement of
violations within the City of Columbia Heights regarding property at:
47444 th Street NE
for ordinance violations pursuant to Chapter 8, Article II, of City Code
RECOMMENDED MOTION(S):
Move to close the public hearing and to waive the reading of Resolution 2016 -47, there being ample copies
available to the public.
Move to adopt Resolution Number 2016 -47, being resolution of the City Council of the City of Columbia
Heights declaring the property listed a nuisance and approving the emergency abatement of violations
from the property pursuant to City Code section 8.206.

RESOLUTION 2016 -47
Resolution of the City Council for the City of Columbia Heights declaring the property a nuisance
and approving emergency abatement of ordinance violations pursuant to Chapter 8, Article Il, of City
Code, of the property owned by Kenneth Pritchett Jr. (Hereinafter "Owner of Record ").
Whereas, the owner of record is the legal owner of the real property located at 4744 4th Street N.E.
Columbia Heights, Minnesota.
Now, therefore, in accordance with the foregoing, and all ordinances and regulations of the City of
Columbia Heights, the City Council of the City of Columbia Heights Makes the following:
FINDINGS OF FACT
That on May 4, 2016 the Fire Department responded to a complaint at the address listed
above. Inspectors noted that the structure was open and unsecured.
2. That on May 4, 2016 the Fire Chief ordered that Advance Companies secure the vacant
structure.
3. That based upon said records of the Fire Department, the following conditions and violations
of City Codes(s) were found to exist and have been abated, to wit:
A. Approve the emergency abatement of the hazardous situation located at 4744 4th
Street N.E.
CONCLUSIONS OF COUNCIL
That the property located at 4744 4th Street N.E. is in violation of the provisions of the
Columbia Heights City Code as set forth in the Notice of Abatement.
2. That the emergency abatement of the hazardous situation located at 4744 4th Street N.E. is
hereby approved.

ORDER OF COUNCIL
1. The property located at 4744 4`h Street N.E. constitutes a nuisance pursuant to City Code.
