This Agreement shalt become binding once credit is approved and accepted by Loffler Companies, Inc, at its home office. 2. This Agreement may not be cancelled, altered, or waived after acceptance without consent in writing. 3. Loffter Companies, Inc. shall not be liable for failure to deliver or for delays occasioned by causes beyond Seller's control, including without limitation, non - delivery or delays by shippers, carriers, or others, accidents, or government acts. 4. Loffler Companies, Inc. shalt not be liable for any special, indirect or consequential damages nor shall Seller be liable in any event for more than the invoice price of any Equipment or supplies. Each shipment under this Agreement is to be considered an individual transaction. 5. You are solely responsible for securely removing any data that may reside in the equipment you are retuning. This includes but is not limited to; hard drives, disk drives or any other form of memory. Failure to securely remove this data could subject you to possible liability. 6. This is a binding contract, not a sate on approval or trial basis. Provisions of this contract, once accepted by Loffler Companies, Inc., supersede any oral communications between the parties. Loffler Companies, Inc. is specifically not bound by any oral or written representation made by its employees or salespeople to clients which do not appear herein in writing. 7. All right, title or interest to the Equipment or supplies described herein shalt remain the property of Loffler Companies, Inc. (or its leasing agent) until paid in full. 8. All invoices are due and payable on the date of invoice and client agrees to pay interest at a rate of 1 -1 /2% per month, or to the extent allowed by law, on any amounts not paid within 10 days of invoice date. 9. Client shalt pay all of Loffter Companies, Inc. costs in the collection of any amount due hereunder, in the recovery of any property pursuant hereto or in the enforcement of its rights against the client, including reasonable attorney's fees, whether or not suit be brought, and proper venue of any action at law or in the equity to enforce any rights hereunder shall be brought in a Court of competent jurisdiction in Hennepin County, Minnesota, despite Client's location or place of payments. 10. COMPLETE AGREEMENT; EXCLUSION OF WARRANTIES: Customer specifically agrees that NO OTHER terms, representations of warranties (express or implied) have been made or have been relied upon to induce Client to enter into this Agreement. Loffler Companies, Inc. represents and warrants for a period of ninety (90) days that the parts provided hereunder are free of material defect or workmanship, and the liability of Loffler Companies, Inc. is expressly limited to the replacement or repair of said parts which may be defective, EXCEPT AS SET FORTH HEREIN AND IN THE GUARANTEED PERFORMANCE SECTION LOFFLER COMPANIES, INC. EXPRESSLY DISCALIMS ALL OTHER WARRANTIES, INCLUDING ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. LOFFLER COMPANIES, INC. shall not be liable for any other damages of any kind arising from any alleged breach of warranty, except as set forth herein. 11. DEFAULT: in the event the Client shall default any payment due, or in the event of any other default or breach of the other terms and conditions of this Agreement, Loffler Companies, Inc. shall have the right to do any one or more of the following: a. Declare this Agreement in default upon written notice to Client, whereupon the entire amount of payments remaining to be paid shall become immediately due and payable. b. Without notice to the Client, repossess the Equipment wherever found with or without legal process, and for this purpose Loffler Companies, Inc. and its agents may enter upon any premises of or under the control or jurisdiction of Client or any agent of Client without liability for suite, action or other proceeding by client (any damages occasioned by such repossession being hereby expressly waived by the client) and remove the Equipment therefrom. c. Any repossession, resale or release of any Equipment by Loffler Companies, Inc. shall not be a bar to the institution of litigation by Loffler Companies, Inc. against the Client for damages for breach of this Agreement. YES Marco Declined to submit proposal Additional Notes: Jeff Hanson, IS Dept., reviewed the proposals from Loffler and Ricoh and confirmed that both the met minimum specs required in the RFP. Although the Loffler machines are slower than requested, the stated speed was not required, but desired. After consulting with department recipients, it was determined that they find the speed of the Konica Minolta copiers to be acceptable. Summary Conclusion: Elect to award the contract for three copiers for Community Development, Fire, and Recreation to Loffler Companies. This decision was primarily based on cost of the machines and favorable maintenance contract terms which are also to be extended to seven existing copiers the City owns, resulting in significant savings. Loffler's proposal includes a provision for lowering maintenance costs per copy, not only on the three new copiers, but also on the seven existing copiers we purchased from them previously. This process is being conducted through formal negotiations with various vendors. Our final decision will be based on several factors, which include, but are not limited to, initial cost, total five year cost, training, service, ease of operation, and the company image as represented by the company's authorized sales representative. All proposals should be submitted no later than Tuesday, April 1, 2014. Acceptable proposals will include the following features for all machines offered: 1. Automatic detection of black- and -white and color originals during copying, with the ability to manually select black -and -white or color. 2. Option to scan single- and multi -page color and black and white documents as single- and multi - page color and black and white TIFFS and PDFs. 3. No charge for scans. 4. Scans to SMB /CIFS network shares on Microsoft Windows 200882 and Windows 2012 servers with the ability to select from predefined destinations. Scan destinations must allow configuration as \\ server \shares \folder \subfolderl \subfolder2, not just \ \server \share. 5. Printer drivers for Windows XP and Windows 7 (32 -bit and 64 -bit versions), and Windows 8, including PostScript 3 drivers. 6. Ability to set default Printing Preferences in the printer driver to black - and - white. 7. The ability to preset 5 -9 digit accounting codes for authorized users in the print driver (ideally with the ability to change without re- installing the driver), as well as the ability to prompt users for a code when a print job is sent. User should be prompted for a code only once per print job. 8. Ability to administer access to all functions and setup parameters from both device panel and Web interface. 9. Ability to restrict MFP functions and setup parameters available to regular users. 10. Machine uptime must be 95% or better. We are, however, open to other cost - effective alternative proposals that you feel would be beneficial to the City. For additional background, we have also enclosed an inventory of all of the large multi - function copiers the City currently owns. Please include the following information in your proposal: 11. Describe the copier by name and model as well as detailed manufacturer specs for all of the proposed copiers. 12. Provide a statement that the proposed machines meet or exceed each of the general requirements listed as items 1 -10 on the first page of this request for proposals, or an explanation as to why not. 13. Provide the price of each copier and all options, including but not limited to all networking hardware and software, set -up, installation and connectivity at each location. It is expected that all vendors responding to the RFP will offer government or comparable favorable rates, such as offered through the State of Minnesota Cooperative Purchasing Venture or similar programs. 14. Provide any one -time costs and any /all recurring charges such as for training, help desk, etc. Training shall include instructions on the proper use of the equipment and features, how to load paper, toner, and other consumable supplies, as well as how to clear paper jams. 15. Provide a five -year lock -in price for a consumables- inclusive maintenance program for all three machines based on the following estimated annual number of copies. Also include the overage rate per copy for any copies over these quantities and any credits that we will receive for copy quantities under these amounts: a. Fire department: 11,000 color / 52,000 B &W b. Recreation department: 1,500 color / 42,000 B &W c. Community Development department: 7,000 color / 60,000 B &W We note that the work in these departments is quite seasonal throughout the year. So although these annual estimates will be reasonably close to actual future experience, the actual monthly usage will vary significantly from the approximate arithmetic average of 5,000 copies per month per machine noted on the enclosed Department Needs Survey. 16. Advise if there will be incremental costs for upgrades and expansions and /or training materials. 17. Identify any other products that must be licensed or purchased for use with the system. 18. Describe the level of customer service that will be provided, including average problem resolution time, hours of service. 19. Provide written assurance that, under no circumstances, will your price exceed a specified total dollar amount. 20. Clearly specify that this proposal is good for a minimum of 30 days and is for new copiers only. Proposals for reconditioned, remanufactured or demo copiers are not acceptable. 21. Provide any delivery costs. 22. Provide a schedule as to when selected copiers would be delivered and installed. 23. Provide any costs that may be associated with the disposal of all four Ricoh 2005 copiers listed on the enclosed inventory. Provide the price of each copier and all options, including but not limited to all networking hardware and software, set -up, installation and connectivity at each location. It is expected that all vendors responding to the RFP will offer government or comparable favorable rates, such as offered through the State of Minnesota Cooperative Purchasing Venture or similar programs. 14. Provide any one -time costs and any /all recurring charges such as for training, help desk, etc. Training shall include instructions on the proper use of the equipment and features, how to load paper, toner, and other consumable supplies, as well as how to clear paper jams. 15. Provide a five -year lock -in price for a consumables- inclusive maintenance program for all three machines based on the following estimated annual number of copies. Advise if there will be incremental costs for upgrades and expansions and /or training materials. 17. Identify any other products that must be licensed or purchased for use with the system. 18. Describe the level of customer service that will be provided, including average problem resolution time, hours of service. 19. Provide written assurance that, under no circumstances, will your price exceed a specified total dollar amount. 20. Advise if there will be incremental costs for upgrades and expansions and/or training materials. 17, Identify any other products that must be licensed or purchased for use with the system. 18. Describe the level of customer service that will be provided, including average problem resolution time, hours of service. 19. Provide written assurance that, under no circumstances, will your price exceed a specified total dollar amount. 20. Clearly specify that this proposal is goon fora minimum of 30 days and is for new copiers only. Proposals for reconditioned, remanufactured or demo copiers are not acceptable. 21. There are no one - time /reoccurring costs for training, help desk support. This is included in all maintenance agreements. 15. The US Communities is very robust. The maintenance contract comes standard as Gold, includes staples, fixed pricing for 5 years, all parts, labor, and toner are included at one cost per copy overage rate. The copy rates are $0.006 per b/w copy, and $0.035 for each color copy. There is no base charge for this contract and no base commitment of copies /prints is required. 16. There are no incremental or upgrade costs to the copiers' firmware. If there is an accessory add -on that is required at a later time, Ricoh will gladly price this out for the city. 17. There are no additional products that need to be purchased or licensed. 18. Service response time is an average of 2 hours from the time a call is placed. 19. Price will not exceed the total purchase price noted on the proposal page, nor will service exceed $0.006 per b/w copy and $0.035 per color copy. There is no charge for scanning. 20. The attached proposal is good for 30 days and is for new copiers only. 21. There are no delivery costs. 22. Upon an executed contract, delivery will be ready within 10 -14 business days. This process is being conducted through formal negotiations with various vendors. Our final decision will be based on several factors, which include, but are not limited to, initial cost, total five year cost, training, service, ease of operation, and the company image as represented by the company's authorized sales representative. Automatic detection of black- and -white and color originals during copying, with the ability to manually select black- and -white or color. 2. Option to scan single- and multi -page color and black and white documents as single- and multi - page color and black and white TIFFS and PDFs. 3. No charge for scans. 4. Scans to SMB /CIFS network shares on Microsoft Windows 200882 and Windows 2012 servers with the ability to select from predefined destinations. Scan destinations must allow configuration as \\server\shares\folder\subfolder I \subfolder2, not just \ \server \share. 5. Printer drivers for Windows XP and Windows 7 (32 -bit and 64 -bit versions), and Windows 8, including PostScript 3 drivers. 6. Ability to set default Printing Preferences in the printer driver to black- and - white. 7. The ability to preset 5 -9 digit accounting codes for authorized users in the print driver (ideally with the ability to change without re- installing the driver), as well as the ability to prompt users for a code when a print job is sent. User should be prompted for a code only once per print job. 8. Ability to administer access to all functions and setup parameters from both device panel and Web interface. 9. Ability to restrict MFP functions and setup parameters available to regular users. 10. Machine uptime must be 95% or better. We are, however, open to other cost - effective alternative proposals that you feel would be beneficial to the City. For additional background, we have also enclosed an inventory of all of the large multi- function copiers the City currently owns. Please include the following information in your proposal: 11. Describe the copier by name and model as well as detailed manufacturer specs for all of the proposed copiers. 12. Provide a statement that the proposed machines meet or exceed each of the general requirements listed as items 1 -10 on the first page of this request for proposals, or an explanation as to why not. 13. Provide the price of each copier and all options, including but not limited to all networking hardware and software, set -up, installation and connectivity at each location. It is expected that all vendors responding to the RFP will offer government or comparable favorable rates, such as offered through the State of Minnesota Cooperative Purchasing Venture or similar programs. 14. Provide any one -time costs and any /all recurring charges such as for training, help desk, etc. Training shall include instructions on the proper use of the equipment and features, how to load paper, toner, and other consumable supplies, as well as how to clear paper jams. 15. Provide a five -year lock -in price for a consumables- inclusive maintenance program for all three machines based on the following estimated annual number of copies. Also include the overage rate per copy for any copies over these quantities and any credits that we will receive for copy quantities under these amounts: a. Fire department: 11,000 color / 52,000 B &W b. Recreation department: 1,500 color / 42,000 B &W c. Community Development department: 7,000 color / 60,000 B &W We note that the work in these departments is quite seasonal throughout the year. So although these annual estimates will be reasonably close to actual future experience, the actual monthly usage will vary significantly from the approximate arithmetic average of 5,000 copies per month per machine noted on the enclosed Department Needs Survey. 16. Advise if there will be incremental costs for upgrades and expansions and/or training materials. 17. Identify any other products that must be licensed or purchased for use with the system. 18. Describe the level of customer service that will be provided, including average problem resolution time, hours of service. 19. Provide written assurance that, under no circumstances, will your price exceed a specified total dollar amount. 20. Clearly specify that this proposal is good for a minimum of 30 days and is for new copiers only. Proposals for reconditioned, remanufactured or demo copiers are not acceptable. 21. Provide any delivery costs. 22. Provide a schedule as to when selected copiers would be delivered and installed. 23. Provide any costs that may be associated with the disposal of all four Ricoh 2005 copiers listed on the enclosed inventory.
