The following is the agenda for the regular meeting of the City Council to be held at 7:00 PM on

MOTION: Move that in accordance with Minnesota Statute 412.271, subd. 8, the City Council

8. PUBLIC HEARINGS
A. Adopt Resolution 2014 -62, 4001 University Avenue NE being a declaration of nuisance and
abatement of violations within the City of Columbia Heights.
MOTION: Move to close the public hearing and to waive the reading of Resolution Number
2014 -62, there being ample copies available to the public.
MOTION: Move to adopt Resolution Number 2014 -62, being a resolution of the City Council of
the City of Columbia Heights declaring the property listed a nuisance and approving the
abatement of violations from the property pursuant to City Code section 8.206.
B. Adopt Resolutions 2014 -63, 678 40th Avenue N.E., being a Resolution of the City Council of
the City of Columbia Heights approving rental license revocation for failure to meet the
requirements of the Property Maintenance Codes.
MOTION: Move to close the public hearing and to waive the reading of Resolution Numbers
2014 -63, being ample copies available to the public.
MOTION: Move to adopt Resolution Number 2014 -63, being a Resolution of the City Council

The meeting was called to order by Mayor Peterson at 7:02 PM.

1. A proclamation declaring October 2014 as Domestic Violence Awareness Month.
Mayor Peterson read the proclamation in its entirety.
2. Recognition of Library Volunteers.
Bethany Grabow, Children's Librarian reported that over 800 children and teenagers registered for
the summer reading program. The participants were mentored by eleven teen volunteers. Two
volunteers assisted with the Read Dog program, and there were nine Teen Advisory Board Members.
Five of the ten volunteers were present at the meeting. Mayor Peterson thanked the volunteers for their
service.

MOTION: Move to waive the reading of Resolution 2014 -59, there being ample copies available

for Storm Drainage Improvements, 43rd to 45th Avenues, Arthur to Benjamin Streets,
D. Approve Change Order No, 2 For 2014 Miscellaneous Utility Repairs and Installations Project 1411
MOTION: Move to authorize Contract Change Order No. 2 for City Project No. 1411 to
Interstate Removal Co. of Forest Lake, Minnesota in the amount of $15,930 for a new contract
amount of $164,718.
E. Rehab Of The Uater Tower
MOTION: Authorize staff to seek proposals for engineering services for the rehabilitation of the
city water tower.
F. Approve Business License Applications
MOTION: Move to approve the items as listed on the business license agenda for July 28, 2014 as
presented.
G. Payment of Bills
MOTION: Move that in accordance with Minnesota Statute 412.271, subd. 8, the City Council has
received the list of claims paid covering check number 153298 through 153460 in the amount of $
1,012,735.70.
Motion by Councilmember Nawrocki, seconded by Councilmember Williams to approve Consent
Agenda items AB,D,F,G. Motion passed unanimously.
The following items were discussed:
C. Adopt Resolution 2014 -59 Accepting the Feasibility Report for Storn2 Drainage Improvements
Public Works Director Kevin Hansen reported that a petition was received related to storm water
improvements. The petition requested looking at solutions and alternatives prior to looking at a Public
Improvement Hearing. Creating and maintaining rain gardens in the rear yards of properties would be
the most economical and practical approach to redirect and retain storm water runoff. If "upstream"
residents support the installation of rain gardens, smaller retention basins, if any, could be constructed in
the rear yards of the southerly properties. Staff proposes a 2 -stage approach to address area flooding.
Initially rain gardens would be installed on upstream properties in cooperation with property owners.

Depending on the success of the gardens, stage 2 would involve sizing and constructing bioinfiltration
basin(s) near the southern properties with a connection to the storm system.
Councilmember Nawrocki questioned the estimated costs associated with the proposed plans. Director
Hansen responded that installation of rain gardens typically costs between $5,000 and $10,000 each, and
the larger basins cost estimate is between $150,000 and $200,000.
Councilmember Diehm thanked Director Hansen, and reported she is in favor of the planned approach.
Motion by Councilnember Diehm, seconded by Councilmember Williams to waive the reading of
Resolution 2014 -59, there being ample copies available for the public. Motion passed unanimously.
Motion by Councilmember Diehm, seconded by Councilmember Williams to adopt Resolution 2014 -59,
being a resolution accepting the Feasibility Report for Storm Drainage Improvements, 43rd to 45th
Avenues, Arthur to Benjamin Streets. Motion passed unanimously.
E. Rehab Of The Water Tower
Director of Public Works Kevin Hansen reported the City's water tower located at 4700 Stinson
Blvd. is in need of a complete repainting / repoating, as well as a few structural repairs. The project
is anticipated to take about 3 -5 months, and the cost estimate is $550,000. Mayor Peterson stated he
would like to see pricing options for adding a design on the water tower representing Columbia
Heights pride.
Motion by Councilmember Williams, seconded by Councilnernber Nawrocki to authorize staff to
seek proposals for engineering services for the rehabilitation of the city water tower.
Motion passed unanimously.

9. ITEMS FOR CONSEDERATION
A. Other Ordinances and Resolutions
1. Reconsideration of Ordinance No. 1615.
City Attorney Jim Hoeft reported a referendum petition to repeal ordinance 1615 was received. This
petition has more than the required 1,010 signatures from registered voters in the City, and prevents the
ordinance from going into operation. It is required the Council reconsider the matter of the proposed
bond sale. If the City Council acts to reaffirm the bond sale, they must call for the matter to be placed on
the ballot as a referendum question to be decided at the upcoming general election on November 4`h, 2014
Councilmember Nawrocki referenced a recent "letter to the editor" stating that he is opposed to the
content and the deadline of August 8`h for withdraw of signatures. Nawrocki noted that the petition was
clear in explaining the purpose, and suggested all signatures should be considered. Attorney Hoeft
reminded Councilmember Nawrocki that this letter did not originate from the City.
Motion by Councilmember Williams, seconded by Councilmember Schmitt to waive the reading of
Ordinance No. 1615, there being ample copies available to the public. Motion passed unanimously.
Nile Harper — 1437 Glacier Lane requested the Council strongly consider reaffirming their original
action, and place the question on the November ballot. Mr. Harper reported that the Columbia

Heights Library Task Force is prepared to encourage residents to vote favorably on the item. Mr.
Harper reported that while he is not a resident of Columbia Heights, he is part of the library
community.
Daniel Honigs — 4762 Stinson Blvd. reported he feels he was misled when approached by a petitioner,
and did call the City Clerk to request his name be removed from the petition.
Bob Odden — 1201 42 '/2 Ave NE stated he takes offense with the Library Task Force implying
residents were misinformed.
Tim Utz — 4141 Stinson Blvd, stated that he is a member of the Charter Commission, and the
commission has been discussing this at great lengths. Mr. Utz reported that the charter allows for the
petition process, and many of the residents have indicated that they want the right to vote on the item.
Charlotte Zarich - 445 6th St NE stated that the next generation of residents is in need of a new library,
with computers, and better space for the children's area.
Gregory Sloat — 4731 6th St NE stated that he feels the issue is not about whether the City needs a new
library; such a large scope project should be decided by the voters.
Councilmember Nawrocki expressed concern with the additional cost to taxpayers to pay for a new
library; as the Public Safety Center and Liquor Stores are still being paid for. Nawrocki stated that
Columbia Heights residents are paying higher property taxes than other cities in the county.
Councilmember Schmitt reported that the Columbia Heights Library has served the community well,
and has been slated for reconstruction since 1999. Schmitt reminded the community that the
construction plans are modest, not as elaborate as some in neighboring communities.
Councilmember Diehm reported that she stands by the decision of the council, and believes in the
representative form of government. Diehm expressed disappointment in the possible misinformation
shared through the process.
Councilmember Williams agreed with the resident who sees a need for investment in the future
generations of Columbia Heights. Williams stated that he thinks a library will be a great addition to
the City.
Mayor Peterson stated that Columbia Heights has been improving over the years, and sees the library
as continued progress.
Motion by Councilmember Williams, seconded by Councilmember Schmitt to reaffirm the adoption of
Ordinance No. 1615, being an Ordinance providingfor the issuance and sale of General Obligation
Library Bonds, Series 2014A, in the maximum aggregate principal amount of $7,000, 000, and to call
for the question to be included on the ballot of the general election scheduled for November 4, 2014.

10. ADMINISTRATIVE REPORTS
Report of the City Manager
City Manager Fehst reminded residents of the Primary Election August 12th. It was reported that the
Canvass of the Primary Election results would take place on Friday, August 15th at 4:30 pm.
Motion by Councilmember Nawrocki, seconded by Councilmember Schmitt to schedule the
Canvass of the Primary Election results on Friday, August 15`h at 4:30 pm. Motion passed unanimously.
Manger Fehst reported that he met with Congressman Keith Ellison, along with Mayor Peterson,
Councilmember Schmitt, and Joe Hogeboom. It was reported that HUD is working on the City's behalf
regarding the transfer to Aeon Corporation. Mr. Ellison expressed interest in working with the City's
various diverse communities.
It was reported that 53 block parties were registered for National Night Out; and 660 pounds of food was
collected for SACA.
Cone with a Cop is scheduled for August 181h from 4:00 pm- 5:00 pm at Dairy Queen.
It was reported that the NE Business Center is going to a Sheriff sale and Schuett Company has
expressed some interest in a housing project.
Councilmember Nawrocki requested information explaining the various utility rates in the City.
Councilmember Nawrocki asked for an update regarding the building on 40th Ave and University.
City Manager Fehst reported that there is a list of requirements for the contractor to complete.
Councilmember Nawrocki asked for an update on 666 40th Ave NE. Manger Fehst stated that the City
will likely initiate condemnation proceedings.
Councilmember Nawrocki referenced a letter received regarding changing the use of the building at 556
40th Ave NE. Manager Fehst suggested that the item would need to submit an application to the Planning
Commission.
Councilmember Nawrocki referenced a letter received regarding the elevator maintenance at Heights
Manor. Manager Fehst stated that the elevator is need of required maintenance, and that will include
shutting down the only elevator on site. Manager Fehst reported that the Fire Department and Police
Department are aware, and indicated they are able to provide needed services to the building. Nawrocki;
who is a board member, indicated the elevator will be operational after three days.

11. CITIZENS FORUM

Gregory Sloat - 4731 6th St NE questioned who will be drafting the language for the ballot question
regarding Ordinance No. 1615. Manager Fehst responded that the City Attorney will do so.
Councilmember Nawrocki suggested the City confirm with the League of Minnesota Cities whether there
are limitations of use of city funds.

Manager Fehst noted the City's sole responsibility is to provide objective language.
Bob Odden — 1201 42 '/ Ave NE suggested it would be beneficial to know what the final cost of the
library project is prior to the election. Manager Fehst stated the current language states "up to
$7,000,000."
Manager Fehst clarified that the majority of Columbia Heights residents pay some of the lowest property
taxes in the seven county area. The average increase to property taxes for a mediam valued home would
be just under $60.00 annually if the library question is passed.
Catherine Vesley - 5135 Matterhorn Dr. reported that there are grants available for community libraries;
especially in the area of technology grants.
David & Beverly Knapp — 5011 Monroe reported that they had frozen water pipes this winter while they
were out of town. Ms. Knapp explained that because the main is located on the opposite side of the street,
it made thawing more difficult, and attempts by a plumber were unsuccessful. Ms. Knapp reported they
were without water for 7 Ih weeks. Director of Public Works Hansen explained that responsibility lies on
the homeowner from the main to the property.
The Knapp's asked the council to reconsider their policy on limitations for reimbursement.
Councilmember Nawrocki suggested the council discuss this at an upcoming worksession.
Malcom Watson — 1717 49th Ave NE reported that the Columbia Heights Kiwanas Club will be selling
Colorado peaches August 19th form 9:00 am - 6:00 pm.
Mr. Watson commented that the landscaping at the library looks very nice. He also suggested the council
consider requesting quotes for installing a new sub -floor at the library.
Mayor Peterson announced a pancake breakfast will be held at the Light House on August 15th
Residents were encouraged to do a random act of kindness and to remember our servicemen and women.

conducted in the area north of 43rd Avenue between Benjamin and Arthur Streets, and
WHEREAS, pursuant to Resolution No. 2013 -116, a report has been prepared by the City
Engineer with reference to the Area Storm Water Study, and the following drainage area
beginning at 45th Avenue between Arthur and Benjamin Streets, and extending to 43rd Avenue,

BACKGROUND:
On August 4, 2014, the Economic Development Authority (EDA) unanimously authorized the sale of 4647 Polk Street
NE to Steven and Katherine Pepple (the Buyer) for the construction of a new single family residence. Following the
meeting, staff moved forward with preparation of property closing materials, and discovered that the property had reverted
to city ownership (not EDA ownership). Therefore, to sell the property, the City Council must adopt a resolution that
authorizes transfer of the property to the EDA, allowing the property closing to occur. The sale would still be subject to
the terns and conditions outlined in the Purchase Agreement, approved by the EDA on August 4, 2014.
RECOMMENDATION:
Staff recommends approval of Resolution 2014 -64, authorizing the sale of 4647 Polk Street NE to the Economic
Development Authority (EDA) for the purpose of reconveyance to the Buyer.
RECOMMENDED MOTIONS:
Motion: Move to waive the reading of Resolution No. 2014 -64 there being ample copies available to the public.

RESOLUTION APPROVING THE SALE OF CITY -OWNED LAND
PURSUANT TO A PURCHASE AND REDEVELOPMENT AGREEMENT
BETWEEN THE COLUMBIA. HEIGHTS ECONOMIC DEVELOPMENT
AUTHORITY AND KATHERINE AND STEVEN PEPPLE
BE IT RESOLVED By the City Council ( "Council ") of the City of Columbia Heights
( "City ") as follows:
Section 1. Recitals.
1.01. The City has heretofore established the Columbia Heights Economic Development
Authority (the "Authority "), which has determined a need to exercise the powers of a housing and
redevelopment authority, pursuant to Minnesota Statutes, Sections 469.090 to 469.108 ("EDA
Act ").
1.02. The Authority and Katherine and Steven Pepple (the "Buyer ") have proposed to
enter into a Purchase and Redevelopment Agreement (the "Contract "), setting forth the terms and
conditions of sale and redevelopment of certain property owned by the City, located at 4647 Polk
Street and described as Lots 26 and 26, Block 1, Sheffields Second Subdivision to Columbia
Heights, Anoka County, Minnesota (the "Property").
1.03. Pursuant to the Contract, the Buyer will acquire the Property from the Authority and
will construct a single family home, subject further to the City's zoning and building codes and
policies.
1.04. On August 4, 2014, the Authority conducted a duly noticed public hearing regarding
the sale of the Property to the Buyer, at which all interested persons were given an opportunity to be
heard, and found that conveyance of the Property to the Buyer has no relationship to the City's
comprehensive plan, in that no amendment or modification of the comprehensive plan is required
for the conveyance or redevelopment of the Property. The activities of the parties under the
Contract implement housing goals of the City's Comprehensive Plan: "Promote and preserve the
single- family housing stock as the community's strongest asset." and "Provide a variety of life -
cycle housing opportunities within the community."
1.05. The Council has reviewed the terms of the Contract and finds that the execution
thereof and performance by the Authority of its obligations thereunder are in the public interest and
will further the objectives of its general plan of economic development and redevelopment, because
it will further the above - stated housing goals.
Section 2. City Approval; Further Proceedings.
2.01. The sale of the Property pursuant to the Contract as presented to the Council is
hereby in all respects approved.

2.02. The Council hereby authorizes the sale of the Property to the Authority, for
reconveyance to the Buyer.
2.03. The Mayor and City Manager are hereby authorized to execute on behalf of the City
any documents requiring execution by the City, including without limitation the deed to the
Authority, necessary to fulfill the Authority's obligations under the Contract.
2.04. Authority and City staff are authorized and directed to take all actions to implement
the Contract.

Resolution of the City Council for the City of Columbia Heights declaring the property a nuisance
and approving abatement of ordinance violations pursuant to Chapter 8, Article II, of City Code, of
the property owned by Investors Group of Minnesota LLC (Hereinafter "Owner of Record ").
Whereas, the owner of record is the legal owner of the real property located at 4001 University
Avenue N.E. Columbia Heights, Minnesota.
Now, therefore, in accordance with the foregoing, and all ordinances and regulations of the City of
Columbia Heights, the City Council of the City of Columbia Heights Makes the following:
FINDINGS OF FACT
1. That on August 6, 2014 the Fire Department responded to a complaint at the address listed
above. Inspectors noted that the structure was unsecured.
2. That on August 6, 2014 the Fire Chief ordered that Advance Companies secure the vacant
structure.
3. That based upon said records of the Fire Department, the following conditions and violations
of City Codes(s) were found to exist and have been abated, to wit:
A. Approve the immediate abatement of the hazardous situation located at 4001
University Avenue N.E.
4. That all parties, including the owner of record and any occupants or tenants, have been given
the appropriate notice of this hearing according to the provisions of the City Code Section
8.206(A) and 8.206(B).
CONCLUSIONS OF COUNCIL
1. That the property located at 4001 University Avenue N.E. is in violation of the provisions of
the Columbia Heights City Code as set forth in the Notice of Abatement.
2. That all relevant parties and parties in interest have been duly served notice of this hearing,
and any other hearings relevant to the abatement of violations on the property listed above.
3. That all applicable rights and periods of appeal as relating to the owner of record, occupant,
or tenant, as the case may be, have expired, or such rights have been exercised and
completed.

Resolution of the City Council for the City of Columbia Heights approving revocation

rental license held by Andrew Ditter (Hereinafter "License Holder ").
Whereas, license holder is the legal owner of the real property located at 678 40`" Avenue
N.E. Columbia Heights, Minnesota,
Whereas, pursuant to City Code, Chapter 5A, Article IV, Section 5A.408(B), written notice
setting forth the causes and reasons for the proposed Council action contained herein was
given to the License Holder on August 8, 2014 of a public hearing to be held on August 25,
2014.
Now, therefore, in accordance with the foregoing, and all ordinances and regulations of the
City of Columbia Heights, the City Council of the City of Columbia Heights makes the
following:
FINDINGS OF FACT
1. That on June 30, 2014 inspectors for the City of Columbia Heights, inspected the
property described above and noted violations. A compliance letter listing the
violations was mailed by regular mail to the owner at the address listed on the Rental
Housing License Application.
2. That on August 7, 2014 inspectors for the City of Columbia Heights performed a
reinspection and noted that violations remained uncorrected. A statement of cause
was mailed via regular mail to the owner at the address listed on the rental housing
license application.
3. That on August 19, 2014 inspectors for the City of Columbia Heights checked
records for this property and noted that the violations remained uncorrected
4. That based upon said records of the Enforcement Office, the following conditions
and violations of the City's Property Maintenance Code were found to exist, to -wit:
a. Shall repair /replace screen in front door.
b. Shall replace missing door closer on front screen door.
c. Shall repair /replace leaking faucet in upstairs bathroom tub.
d. Shall install a thumb turn style dead bolt lock on West entry door.
e. Shall repair /replace West entry screen door so it closes & latches.
f. Shall install proper venting for dryer. Flexible vent pipe not acceptable.
g. Shall repair /replace missing tile in bathroom off of kitchen.
h. Shall caulk around tub in bathroom off of kitchen.
i. Shall repair /replace any /all missing or torn screen(s) on the building.
j. Shall IMMEDIATELY restore electricity to the property.
k. Shall replace rotted window sill under air conditioner on West side.

5. That all parties, including the License Holder and any occupants or tenants, have
been given the appropriate notice of this hearing according to the provisions of the
City Code, Chapter 5A, Article III 5A.306 and 5A.303(A).
ORDER OF COUNCIL
1. The rental license belonging to the License Holder described herein and identified by
license number F13541 is hereby revoked.
2. The City will post for the purpose of preventing occupancy a copy of this order on the
buildings covered by the license held by License Holder.
3. All tenants shall remove themselves from the premises within 45 days from the first
day of posting of this Order revoking the license as held by License Holder.

Background: Fire Dept. staff has started the process to replace Engine 4, originally purchased in
1984. In the past, staff would have to write specific specs for a new engine and then go through a
sealed bidding process. This process takes time and firefighters do not have the needed expertise to
write complex specs. Many communities around the Country, and in Minnesota, have used the
Houston - Galveston Area Council (H -GAC) purchasing consortium. This consortium has pre bid out
the costs of building fire apparatus with most of the fire equipment vendors around the country. This
savings is passed on to the purchaser. The City can pick a fire apparatus vendor off of the list and
deal directly with that vendor to design the vehicle. The vendor will put together the specs with all of
the costs known up front. When the specs are completed we immediately know the cost of the
vehicle.
To start the process the City must "join" the H -GAC through the contract that is before the Council
for approval. There is no direct cost to H -GAC for signing the contract and joining. The City
Attorney has reviewed the contract. A copy of the contract along with information about the H -GAC
is included. A list of Minnesota communities that have contracted with, and purchased through the H-
GAC is also included.
RECOMMENDED MOTION: Move to waive the reading of Resolution No. 2014 -61 there

WITNESSETH
WHEREAS, H -GAC is a regional planning commission and political subdivision of the State of Texas operating under Chapter 391,

ARTICLE 1: LEGAL AUTHORITY
The End User represents and warrants to H -GAC that (1) it is eligible to contract with H -GAC under the Act because it is one of the
following: a local government, as defined in the Act (a county, a municipality, a special district, or other political subdivision of the
State of Texas or any other state), or a combination of two or more of those entities, a state agency (an agency of the State of Texas as
defined in Section 771.002 of the Texas Government Code, or a similar agency of another state), or a non - profit corporation created
and operated to provide one or more governmental functions and services, and (2) it possesses adequate legal authority to enter into this
Contract.
ARTICLE 2: APPLICABLE LAWS
H -GAC and the End User agree to conduct all activities under this Contract in accordance with all applicable rules, regulations, and
ordinances and laws in effect or promulgated during the term of this Contract.
ARTICLE 3: WHOLE AGREEMENT
This Contract and any attachments, as provided herein, constitute the complete contract between the parties hereto, and supersede any
and all oral and written agreements between the parties relating to matters herein.
ARTICLE 4: PERFORMANCE PERIOD
The period of this Contract shall be for the balance of the fiscal year of the End User, which began * 01 /01 /2014 and
ends * 12/31/2014 . This Contract shall thereafter automatically be renewed annually for each succeeding fiscal year,
provided that such renewal shall not have the effect of extending the period in which the End User may make any payment due an H-
GAC contractor beyond the fiscal year in which such obligation was incurred under this Contract.
ARTICLE 5: SCOPE OF SERVICES
The End User appoints H -GAC its true and lawful purchasing agent for the purchase of certain products and services through the H-
GAC Cooperative Purchasing Program. End User will access the Program through HGACBuv.com and by submission of any duly
executed purchase order, in the form prescribed by H -GAC to a contractor having a valid contract with H -GAC. All purchases
hereunder shall be in accordance with specifications and contract terms and pricing established by H -GAC. Ownership (tide) to
products purchased through H -GAC shall transfer directly from the contractor to the End User.

ARTICLE 6: PAYMENTS
H -GAC will confirm each order and issue notice to contractor to proceed. Upon delivery of goods or services purchased, and
presentation of a properly documented invoice, the End User shall promptly, and in any case within thirty (30) days, pay H -GAC's
contractor the full amount ofthe invoice. All payments for goods or services will be made from current revenues available to the paying
party. In no event shall H -GAC have any financial liability to the End User for any goods or services End User procures from an H-
GAC contractor.
ARTICLE 7: CHANGES AND AMENDMENTS
This Contract may be amended only by a written amendment executed by both parties, except that any alterations, additions, or
deletions to the terms of this Contract which are required by changes in Federal and State law or regulations are automatically
incorporated into this Contract without written amendment hereto and shall become effective on the date designated by such law or
regulation.
H -GAC reserves the right to make changes in the scope of products and services offered through the H -GAC Cooperative Purchasing
Program to be performed hereunder.
ARTICLE 8: TERMINATION PROCEDURES
H -GAC or the End User may cancel this Contract at any time upon thirty (30) days written notice by certified mail to the other party= to
this Contract. The obligations of the End User, including its obligation to pay H -GAO's contractor for all costs incurred under this
Contract prior to such notice shall survive such cancellation, as well as any other obligation incurred under this Contract, until
performed or discharged by the End User.
ARTICLE 9: SEVERABILITY
All parties agree that should any provision of this Contract be determined to be invalid or unenforceable, such determination shall not
affect any other term of this Contract, which shall continue in full force and effect.
ARTICLE 10: FORCE MAJEURE
To the extent that either party to this Contract shall be wholly or partially prevented from the performance within the tern specified of
any obligation or duty placed on such party by reason of or through strikes, stoppage of labor, riot, fire, flood, acts of war, insurrection,
accident, order of any court, act of God, or specific cause reasonably beyond the party's control and not attributable to its neglect or
nonfeasance, in such event, the time for the performance of such obligation or duty shall be suspended until such disability to perform is
removed; provided, however, force majeure shall not excuse an obligation solely to pay funds. Determination of force majeure shall
rest solely with H -GAC.
ARTICLE 11: VENUE
Disputes between procuring party and Vendor are to be resolved in accord with the law and venue rules of the State of purchase.

The Texas Interlocal Cooperation Act
Most States in the United States have either Interlocal Cooperation or Joint Powers authority to allow
local governments in those states to join and participate in programs like HGACBuy. Click on Authorizing
Statutes on the HGACBuy web site to see what cooperative purchasing statutes exist in each state to
allow for participation in HGACBuy.
In 1971, the Texas Legislature passed the Interlocal Cooperation Act [Texas Government Code, Title 7,
Chapter 791] to promote activities among local governments across Texas. Any local government or
non - profit providing government services may contract or agree with one or more local governments
under the terms of this Act to conduct purchasing and other administrative functions. The following
excerpt from the Act states that... "The Interlocal Cooperation Act's purpose is to improve the efficiency
and effectiveness of local governments by authorizing the fullest possible range of inter - governmental
contracting authority at the local level including contracts between all political subdivisions of the state
and agencies of the state.
Legal Authority
Governmental entities join HGACBuy by execution of an Interlocal Contract (ILC) which can be found on
the HGACBuy website under Program Info.
By executing the ILC, the End User represents and warrants to H -GAC that (1) it is eligible to contract
with H -GAC under the Act because it is one of the following: a qualifying non - profit corporation, county,
municipality, special district, or other political subdivision of the State of Texas, or another state, and (2)
it possesses adequate legal authority to enter into this Contract.

Scope of H -GAC's Professional Services
When participating in HGACBuy, members make their purchase orders out to, and directly pay, the
HGACBuy contractor. However, H -GAC does act as the designated purchasing agent on behalf of
participating End Users by performing specific services including, but not limited to:
• Conducting research and surveys
• Developing specifications for each product /service
• Soliciting vendor participation
• Issuing specifications documents
• Conducting pre- bid /pre - proposal conferences
• Opening bid /proposal responses
• Evaluating responses
• Issuing Vendor Contracts awarded by the H -GAC Board of Directors
• Certifying contract validity
• Contracts Administration
Interlocal Contract Renewals
Provisions of the Interlocal Cooperation Act provide for annual renewal of Interlocal Contracts. The
contract document issued by HGACBuy contains a provision for automatic annual renewal. Unless an
updated contract document is requested, or statutory change occurs, the initial enactment could remain
in effect in perpetuity. A permanent identification number is assigned to each End User contract.
Purchasing Statutes Applied to H -GAC Competitive Bid Process
Products offered through HGACBuy have been subjected to either the competitive bid or competitive
proposal format based on Texas statutes for Councils of Governments under the Local Government
Code Chapter 252. The 76th Legislature, Regular Session, added language that stipulates Councils of
Governments shall specifically use "municipal bidding statutes ". As administrator, H -CAC's rules of
governance apply. In evaluating bid and proposal responses, HGACBuy takes into account any
prospective contractor's ability to meet performance requirements. Factors considered include number
and location of sales /service facilities, depth of staff, qualifications of technical support personnel, and
business continuity. Contractors are expected to service all End Users participating in the Program
wherever possible, practical, and not contrary to franchise or dealership agreements.
H -GAC Board of Directors Awards All Contracts
The Board of Directors composed of 35 elected officials awards all H -GAC cooperative purchasing
contracts. As a political subdivision of the State of Texas, Board agenda are publicly posted in advance of
public meetings. Board meetings are customarily held on the third Tuesday of each month in H -GAC
Conference Room A, Second floor, 3555 Timmons Lane, Houston. The Houston- Galveston Area Council is
one of Texas' 24 regional councils of governments.

Steps To Placing Purchase Orders Through HGACBuy
Step 1: (first time only)
Execute the "Interlocal Contract" (ILC) found on the HGACBuy website under Program Info, and return
to H -GAC. H -GAC will sign two copies and return one to the End User for their records. The ILC may be
faxed to 713 - 993 -4548 for expedited processing.
Step 2:
Obtain specific product details from the HGACBuy website, www.HGACBuy.org. Then, contact the
contractor's nearest representative for additional assistance and a definitive price quotation. Contractor
information can be found at the bottom of each contracts web page under Products Available.
Step 3:
Prepare and submit your purchase order directly to the relevant HGACBuy contractor, after completing
consultation with the contractor's representative. A copy of the order along with a copy of the
contractor's written quotation shall be faxed or mailed to HGACBuy at FAX: 713 - 993 -4548. Orders
should include specific details regarding the purchase (i.e., name of the End User's contact person,
shipping /delivery instructions, and installation details, if any). HGACBuy contractors will then invoice
End User for all purchases, and End User will pay the contractor directly following delivery and
acceptance.
NOTE: Performance Bond
HGACBuy's contractual requirements no longer include a Performance Bond, and bid pricing should
reflect this cost saving. However, Contractor must be prepared to offer a Performance Bond to cover
any specific order, if so requested by End User. Contractor shall quote a price to End User for provision
of any requested Performance Bond. If Performance Bond is requested by End User for a particular
order, Contractor agrees to furnish the Performance Bond within ten (10) days of receipt of End User's
purchase order.
HGACBuy Order Confirmation
On most contracts, when a copy of a purchase order is received (see Step 3 above), HGACBuy staff
prepares an Order Confirmation which is then sent to the Member and the Contractor - authorizing the
Contractor to proceed with the order. This Order Confirmation indicates that the Contractor does have a
valid contract with HGACBuy for the products contained on the order. Actual pricing is not verified on
the Order Confirmation. For pricing verification prior to issuing the purchase order, contact HGACBuy
staff.
Remitting End User Payments For Products and Services Rendered
The prompt payment requirements for products and services rendered through cooperative purchasing
states that "...upon delivery of the goods and services purchased, and presentation by HGACBuy
contractor of a properly documented invoice, the End User shall promptly, and in any case within thirty
(30) days, pay the HGACBuy contractor the full amount of the invoice.

All contracts between HGACBuy and its contractors require prompt payment upon delivery of
products /services to an End User.
Ownership Passes Directly From Contractors to End Users
HGACBuy does not at any time take title to any product. Contractors assign ownership directly to End
Users.
Reimbursement of HGACBuy's Operational Costs
The HGACBuy program is solely funded through the assessment of an administrative fee paid by the
contractor on each order.
End Users Invited to Attend Pre -Bid Conferences
HGACBuy schedules publicly announced pre- bid /pre - proposal specification conferences with
manufacturers, distributors, representatives, and dealers for the various product categories offered.
These conferences, held throughout each year, are widely attended by the various industry groups
represented in the Program. End Users are invited to attend these conferences also. See a listing of
scheduled pre -bid conferences on the HGACBuy website under Bid Notices.
3 -Way Partnership At Work
The three -way partnership between HGACBuy, Program End Users, and Contractors is a very important
relationship that provides vital links to ensure effective cooperative results. Clear, concise
communication is essential to making the partnership effective and successful. The contact path
includes all three parties: HGACBuy, End User, and Contractor.
H -GAC's Role: HGACBuy's role is to conduct product research and surveys, write technical specifications,
conduct pre -bid conferences, open bids, and evaluate responses. After contracts are awarded by the H-
GAC Board, HGACBuy certifies contract validity, and administers contracts.
The End User's Role: End Users are expected to consult with Contractors' representatives for the
purpose of determining the exact requirements needed to serve constituents. End Users work with
Contractor's representatives to detail and complete all documentation required when submitting
purchase orders.
The Contractor's Role: HGACBuy relies upon its Contractors to quickly respond to End User inquiries that
provide detailed product information and pricing, including priced options for specific products.
Contractors' representatives work closely with each End User to meet specific constituent needs.

The Program's Coordinator for Specifications & Bids directs the bid /proposal cycle for products and
services that HGACBuy desires to place under contract on behalf of Members. The near term schedule of
procurements is posted on the HGACBuy website under Bid Notices.

A: HGACBuy is a self- funded "Enterprise Fund" government agency, self - supported thru an
