Motion: Move to approve the disclosure statement.

Motion: Move to waive the reading of Resolution 2012 -03 there being ample copies available to
the public.
Motion: Move to adopt Resolution 2012 -03, a Resolution Authorizing the HRA to submit
application to HUD for the disposition of Parkview Villa North.

BACKGROUND: Attached is a letter dated February 23, 2012 from Robert Alsop, HRA
Attorney, disclosing a fact situation regarding an attorney with Kennedy and Graven that will
be serving on the Board of Directors with Aeon. The letter states that the subject attorney,
Melissa Mandershied, will not be working on any Columbia Heights HRA files, and as such,
this does not create a conflict under the... "Rules on Lawyers Professional Responsibility or
as a practical matter..." The letter serves as a disclosure and if in agreement, the HRA
should pass a motion authorizing the Executive Directive to sign an acknowledgement of the
same.
Staff recommends approval of the Disclosure Letter dated February
23, 2012 as written.
RECOMMENDED MOTION: Motion to Authorize the Executive Director to sign an
Acknowledgment of Kennedy and Graven's' Disclosure Letter dated February 23, 2012.

Dear Mr. Clark:
The purpose of this letter is to advise you of the recent appointment of Melissa Manderschied to
the Board of Directors for Aeon. As you know, Aeon has been selected by the Housing and
Redevelopment Authority of Columbia Heights ( "HRA ") as a possible purchaser of the Parkview
Villa properties. Ms. Manderschied has been an attorney with our law firm since 2006. Ms.
Manderschied has not performed any legal work for the HRA since her appointment to the Aeon
Board, and she will not be working on any HRA files related to the purchase of the Parkview
Villa properties.
Once made aware of the possible purchase, Ms. Manderschied spoke with the Executive Director
of Aeon. Aeon has advised Ms. Manderschied that it has no concerns regarding Kennedy &
Graven's representation of the HRA as it relates to Ms. Manderschied's Aeon board service.
After reviewing the matter, we do not believe that Ms. Manderschied's position on the Aeon
Board of Directors creates a conflict, either under the Rules on Lawyers Professional
Responsibility or as a practical matter, with regard to our firm's continued representation of the
HRA in this matter. Nevertheless, to ensure frill disclosure of this matter, we request that the
HRA Board acknowledge and consent to Ms. Manderschied serving on the Aeon Board
of Directors while also being employed as an attorney at Kennedy & Graven. Please provide the
HRA Board with a copy of this letter, with a request for approval of the acknowledgment and
consent at the board meeting on March 5, 2012. Please return the letter to me with the
acknowledgment signed by the Executive Director once the Board has been advised and

BACKGROUND:
As part of the Special Application Center (SAC) process the HRA has to provide authorization
to make the application for the disposition of Parkview Villa North. This Resolution provides
that authorization.
RECOMMENDATION: Staff recommends the HRA approve the resolution as presented.
RECOMMENDED MOTION:
Motion: Move to waive the reading of Resolution 2012 -03 there being ample copies available
to the public.

HRA ACTION:
COLUMBIA HEIGHTS HOUSING AND REDEVELOPMENT AUTHORITY
RESOLUTION AUTHORIZING THE HRA TO SUBMIT APPLICATION TO HUD FOR THE DISPOSITION OF
PARKVIEW VILLA NORTH.
RESOLUTION 2012.03
WHEREAS the City of Columbia Heights Housing and Redevelopment Authority (hereafter "HRA ") currently
owns Parkview Villa South, a 45 -unit residential building serving seniors; and
WHEREAS, the HRA also owns Parkview Villa North, a 101 -unit high rise with Public Housing Authority
designation serving low- income and disabled seniors; and
WHEREAS, Parkview Villa North and Parkview Villa South, together called " Parkview Villa ", provide 146
units of affordable apartment homes in the City of Columbia Heights; and
WHEREAS, Parkview Villa is the only property owned by the HRA; and
WHEREAS, The HRA determined that it would be in the best interest of the property to transfer ownership
to an entity that specializes in affordable housing rehabilitation, ownership, and management and has the capacity to
effectively operate the buildings over the long -term; and
WHEREAS, in Spring 2011 the HRA initiated a competitive selection process to identify a qualified
affordable housing developer that would meet the following HRA goals for the sale of Parkview Villa: 1) Maintain the
property as a strong and vibrant senior community; 2) Protect the existing rental price points for a pre - determined
period of time; 3) Agree to a long -term covenant that requires the property to operate as a senior building; 4)
Purchase the property at market price; and 5) Maintain a housing priority for Columba Heights residents; and
WHEREAS, the HRA selected Aeon, a Minnesota 501(c)3 non - profit corporation, to own,rehabilitate, and
manage Parkview Villa.
NOW THEREFORE BE IT RESOLVED, by the Columbia Heights HRA that the Authority expresses its
support of the request to dispose of the Public Housing units with its accompanying relocation plan; and
BE IT FURTHER RESOLVED, that the Executive Director is authorized to execute documents and provide
certifications and submit to HUD for approval a request to dispose of the 101 unit Parkview Villa North, HUD project
number MN105000001,

BACKGROUND: The City's Housing and Redevelopment Authority has not had a PHA
Authority representative for over a year. An individual was selected and due to various
issues, could not serve and was never sworn in.
Over the next month staff will investigate whether the previously selected individual desires to
be sworn in at the April meeting. If the individual elects to opt out, direction from the HRA on
how to proceed is important. Options on how to proceed include:
1) Select a candidate from the pool that was interviewed in 2011.
2) Restart the process of notifying the Parkview Villa North residents for candidates and
then commence an interview process. A goal would be to have a selection made for the April
meeting.
RECOMMENDATION: Staff seeks direction on how to proceed.

RE: Community Meeting March 6th
On March 6, 2012 HRA staff and Aeon plan to hold an additional community meeting
at Parkview Villa. The meeting will be in Community Room A at 12:00pm. This is a
follow up meeting to the February 22nd meeting. Several residents have questions
regarding the General Information Letter that was handed out at the February 22nd
meeting and we will take this time to address those concerns. Attached to this memo is
a copy of a letter from Perry Milek, staff will address his concerns at the March 6t"
meeting as well.
