As we discussed today on the phone, I am writing this to clarify both the email history with Tait below, and the terms of our
maintenance agreement with Loff|er for our Konica Minolta machines. Regardless of the manner in which monthly payments
under the agreement are determined, we will follow the clause written into the agreement that provides for annually adjusting
maintenance costs to equal the actual number ofcopies metered at the rates of$0.0065 each for B86Ncopies and $0.047 each for
color copies. We understand the "as of date" at which this adjustment is calculated each year to be the anniversary date of the
contract.
In addition, we are willing to be billed and pay monthly progress payments towards this annual cost. VVe are willing tohave
these monthly progress payments calculated as equal to 1/12th of the annual volume estimates stated in the contract of476,16O
88W and 119,040 co/oratthe rates of$0.0065 each for B86N copies and $0.047 each for color copies. We do estimate that
monthly payments calculated in this manner will usually yield a credit balance 0n our account at most anniversary dates ofthe
contract, but we don't estimate these credits will be excessive.

I did change the agreement to annually instead of monthly so City would actually have an annual commitment of 476,160 b/w and
119,O4U color images.

Following up on our emails below. I have been waiting to hear back confirmation regarding and a "pay as you go maintenance
agreement" and finally did this morning.
Unfortunately I was not able get an approval to change the current maintenance agreement to a pay as you go based on the same
rates. Because of this we are going to have to evaluate the volumes annually,
