HomeMy WebLinkAboutContract 2011 2364 AGREEMENT FOR SERVICES THIS AGREEMENT, made this 18th day of January 2011, between the City of Columbia Heights, Minnesota, part of the first part, hereinafter called the "City ", and Matthew Grdinic, part of the second part, hereinafter known as the "Contractor ". WITNESSETH: That the Contractor, for and in consideration of the payment or payments hereinafter specified and by the City to be made at the time and in the manner as herein set forth, hereby covenants and agrees to furnish services to develop CityForms Application ( "Application ") per the attached Statement of Work, at the rate of $95 per hour. The payment will be made no later than 14 days after the acceptance of the work by the City IS Director. Total compensation under this contract shall not exceed $ 4,000. The work must be completed by February 28, 2011. The Contractor covenants and agrees that all said work and labor shall be done and performed in the best and most professional manner and that all such materials and labor shall be in strict and entire conformity with the request of the City IS Director. The Application, including the source code, will become the property of the City, and Contractor will receive no other compensation for the use of the Application. The Contractor agrees to provide, at no extra charge, up to 3 hours of support during the installation of the Application in the City Information System, and up to 4 hours of support during the use of the Application. Request for support and modifications of the Application beyond these time blocks will be billable by Contractor at the rate of $95 per hour in quarter -hour increments. The City covenants and agrees that all requests will be made on a timely basis and that the Contractor has the right of refusal of services for any request not so made. It is understood and agreed that representatives of the City will provide the Contractor with all available information prior to the Contractor beginning work. It is further understood and agreed that any requests for information related to work to be performed by the Contractor will be available within 5 working days of request unless otherwise so agreed by the Contractor and the City 15 Director. It is understood and agreed that no claim for extra work done or materials furnished by the Contractor will be allowed by the City except as provided herein, nor shall the Contractor do any work or furnish any materials not covered by requests from the City IS Director. Contractor acknowledges and agrees that all work effort and information associated with the Application, related documentation and /or other software or other information provided or made available by the City to Contractor, may constitute confidential information of the City. Contractor agrees not to disclose or to allow access to such confidential information to any other party and shall use its best efforts to protect such confidential information against unauthorized or unlawful use, disclosure, dissemination or copying. In case any questions or disputes arise between the parties hereto respecting any matter pertaining to this Contract, or any part hereof, said questions or disputes shall be referred to the City Manager, and his decision thereon shall be binding upon the parties hereto, provided said decision is in writing and signed by the City Manager. It is understood and agreed that questions or disputes may not be handled by a designee. CityForms Application ( "Application ") must perform the same functions as the CityForms MS Access application currently being used by the City ( "current CityForms program "). Contractor acknowledges that he can access the current CityForms program (including source Visual Basic code) and understands the functionality. The following is a list of main functions: a. Preparation of Purchase Requisitions, including: date auto -fill, lookup from Vendor list at the SQL server(both regular and "alternate" vendors), preparing list of items (add, edit, delete lines), calculating sales tax based on a rate selected by user, calculating total for items, preparing list of financial codes (add, edit, delete lines), calculating remaining balance, calculating total for items, printing, saving to the database server. b. Preparation of Payment Vouchers, including: date auto -fill, lookup from Vendor list at the SQL server (both regular and "alternate" vendors), selection of regular /Interim voucher /Credit card voucher print layouts, preparing list of items (add, edit, delete lines), calculating total, printing, saving to the database server. c. Conversion of Purchase Requisition into Payment Voucher, including: transfer of information from Requisition to the Voucher, option to combine several Requisitions prepared on the same day into one Voucher, possibility to edit Voucher. d. Retrieving Purchase Requisitions and Payment Vouchers from the database server for review and modifications. e. Other: department selection for Requisitions and Vouchers is based on the system environmental variable at the client workstation and can be changed by user only if this variable value is "MIS" or "Finance ". Credit card payment print layout can be selected by user only if this variable value is "MIS" or "Finance ". 2. Application must have user interface essentially similar to the current CityForms program. Contractor acknowledges that he can view the current user interface (including screen and print layouts). Some sample screen and print layouts are attached. 3. Application must be developed as a set of Web - pages. Web - server side of the application must be delivered as a set of PHP files and auxiliary files (if necessary) ready for the installation on the Web - server. Contractor must provide installation instructions. 4. Application must run in the following environments: a. Database server: Microsoft SQL Server 2008. b. Web - server: Internet Information Services (IIS) 7.5 on Windows Server 2008 R2. c. Client workstation operating systems: Windows XP Professional with SP3; Windows 7. d. Browsers: Internet Explorer 8; Firefox 3.6. 5. Acceptance test of the Application must be performed in the Contractor environment. 6. Contractor must provide the source code of the application. The source code must include human - readable comments with enough information to allow the City to customize and modify application later.
