NAC agrees to perform the following specific services in a good professional manner. The agreement will include two maintenance inspections including change filters at each inspection and replacing the belts once a year (supplied by NAC), grease and oil moving parts, check pressures and amp draws and generally inspect system operation. (See attached maintenance schedule) Note: Pleated high efficiency filters will be used. The following equipment is covered under this agreement: (4) Trane 4-ton roof top units. (3) Trane 3-ton roof tap units. (3) Power roof ventilators. (2) Larken condensing units for the walk in beer cooler. Note: Unit heaters serviced as requested and billed additional. See attachments enclosed These services will be performed at 4950 Central Avenue N.E. Columbia Heights, MN. 55421. The owner/manager will pay NAC for this service $1,968.00 annually to be invoiced two times annually at $984.00 per inspection. All interim service shall be invoiced on a time and materials basis. The duration of this agreement shall be for a period beginning upon the acceptance of the contract by both parties, and continuous until terminated by either party giving 30 days written notice of termination. This agreement is subject to the following conditions: This agreement does not include air conditioning ductwork, installation of ductwork, any electrical service to the units, or any non-operating portions of the equipment. It is understood that owner's equipment shall be in good operating condition at the start of the agreement. NAC shall not be responsible for injuries to persons; for loss of damage to or destruction of property (including property of owner); or delay of work caused by the negligence or willful misconduct of the owner, its agents, or employees; or caused by forces natural or otherwise, which are beyond NAC's control, such as storms, riots or power failures; or in any event, for consequential damage. Without affecting any right of cancellation or termination set forth in this agreement, either party may suspend this agreement at any time because of labor disputes by giving the other party written notice of such suspension. This agreement shall not be assigned by NAC without the pro written consent of the owner. NAC shall act as an independent contractor insofar as the performance of service is concerned. To that end, NAC shall employ and direct such personnel as it requires to perform said services, shall exercise full and complete authority over its personnel, shall comply with all workers compensation, employer's liability and Federal, State, county and Municipal laws, ordinances, rules and regulations required of an employer performing services as contemplated, and shall make all reports and remit all withholding or other deductions from the compensation paid its personnel as may be required by Federal, State, County, or Municipal law, ordinance, rule or regulation. This proposal shall become a valid contract only when accepted by the owner and subsequently approved by an authorized representative of NAC. No agent or employee shall have authority to waive any clause of this proposal. Columbia ~Ieigl~ts, M~v. 55421. The owner/manager will pay NAC for this service $1,040.00 annually to be invoiced two times annually at $520.00 per inspection. All interim service shall be invoiced on a time and materials basis.
