PAYMENT TERMS: A payment of 50°l0 of the total Agreement is due upon order placement. The payment
must be received no later than 10 BUSINESS DAYS after the execution of this Agreement. The remaining
balance is due upon receipt of the TriGeo SIM appliance. The balance must be received no later than FIVE
BUSINESS DAYS after delivery of TriGeo SIM appliance. Costs of shipping and handling will be added to the
prices shown above, and paid by Customer as part of the total invoice amount. If applicable, state sales tax
will be added to the price of ail products unless Customer provides written evidence of exemption prior to
shipment.

TriGeo Sales ~ Service Agreement
*TRIGEO SYSTEM IMPLEMENTATION ~ TRAINING: This proposal includes configuration of TriGeo
Security Appliance Manager, remote installation and training. Installation is defined as the completion of the
initial training where the appliance is racked, powered up, IP addressable, base configuration completed and
events are flowing to the console. Comprehensive training. is offered in a virtual lab environment that blends
lecture and lab exercises over a period of approximately 4-6 weeks. ft begins with a 2-hour overview, and is
followed by a weekly series of 2 hour lecture/lab sessions. Pre and post class one-on-one support sessions
prepare you for the classes, help cement the lessons teamed, and configure the system for your specific
environment.
**TRIGEO ANNUAL SUPPORT 8 PRODUCT UPGRADES (1 YEAR):
Fees: TriGeo charges 20% of current list price for Annual Maintenance, Support and Upgrades.
Term: The Annual Maintenance, Service, Support & Upgrades ("Annual Maintenance Services") shall begin
upon the first day of the month following system Delivery and continue for a period of one (1) year.
Maintenance: Hardware: Dell covers the server under an on-site 3-year Next Business Day warranty. For
any issues with hardware, contact TriGeo and TriGeo will coordinate all repairs. Extended warranties past
the 3 years will be quoted as needed and billed in addition to the standard maintenance fee.
Software Upgrades and Updates: TriGeo will provide all upgrades and maintenance releases, as long as
cus#omer is current with their Annual Maintenance fees.
Support: TriGeo's support services shall be available via telephone at (866) 664-6068 or email at
sudoortCc~tri~feo.com on normal business days (but excluding holidays recognized by TriGeo) between the
hours of 6:00 a.m. and 5:00 p.m. PST/PDT.
ENTIRE AGREEMENT: The express terms and conditions of this Agreement are intended by the parties as
the final expression of their agreement with respect to the subject matter of this Agreement, and supersede ail
prior discussions, representations and agreements, both oral and written. This Agreement is non-cancelable
and may only be modified by means of a document, signed by both parties.
