ASSIGNMENT OF MANAGEMENT AGREEMENT FOR PARKING
FACl"LITIES AND LEASE OF THE PLAZA PROPERTY
TRIS ASSIGNMENT is made as of the :;:L IV-day of June,
1988 by TERRY EVENSON, a single person, ("Assignor") in
favor of ZAIDAN HOLDINGS INC., a Canadian corporation,
individually ("Assignee").
RECITALS
A. Assignor and the Housing and Redevelopment Authority
for the City of Columbia Heights ("HRA") are party to a
certain Management Agreement for Parking Facilities and
Lease of the Plaza Property dated July 20, 1982, filed
February 9, 1983, as Document No. 607127 and Torrens Document
No. 124953 ( the "Management Agreement") which, among other
things, grants Assignor a leasehold interest and right
of first refusal in certain real property situated in Anoka
County and described on Exhibit A attached hereto, and
the right to use and the option to purchase certain real
property located in Anoka County and described on Exhibit
B attached hereto.
B. Pursuant to a Purchase Agreement dated effective
May 19, 1988 between Assignor, as Seller, and Henry Zaidan,
as Buyer, as subsequently assigned by Buyer to Assignee,
Assignor has agreed to assign to Assignee all of Assignor's
right, title and interest in, to and under the Management
Agreement.
ASSIGNMENT
In consideration of the foregoing, the respective
covenants of Assignor and Assignee in the Purchase Agreement,
and for other good and valuable consideration, receipt
of which is hereby acknowledged:

and those parts of tots 23 and 24, Block 1, Walton's Rearrangement
of tots 33 and 34, Block 6, Reservoir Hills and of the vacated
alley abutting Block 1, "Walton's Rearrangement of tots 33 and 34,
Block 6, Reservoir Hills", as dedicated in said plat, lying within
the following described tract: .
Commencing at a point on the South line of said Block 1, Walton's
Rearrangement distant 18.00 feet West of the Southeast corner of
tot 23, said Block 1, Walton's Rearrangement; thence Northerly on a
