RE: Professional Services Proposal -Ramsdell Park Recreational Planning and Design
This letter proposal outlines a scope of services, fe.e schedule. and other elements which, if appro~~ed, constitute an Agreement
between the i~ity of Columbia Heights, 1~IN y.erein referred to as the ~1VJidE:N, and Bracer and Associaies, Ltd., herein rei:;rreri
to as the CONSULTANT.
The OWNER hereby retains the CONSULTANT to provide professional. services required to complete professional landscape
architectural design and planning services as outlined below for Ramsdell Park located in Columbia Heights, Minnesota,
hereinafter referred to as the PROJECT.
The CONSULTANT'S services shall include the following:
A. SCOPE OF SERVICES "A" -Master Planning Services for Ramsdell Park
1. Design Coordination /Focus Meeting: The general purpose of this meeting is to allow the
CONSULTANT the opportunity to develop a very clear understanding of the scope of the project,
intended outcome, OWNER's expectations of the consultant's services, confirm key individuals,
staff members, etc. who will be involved in the project or have information that will affect the
project, and general review and discussion about the issues and concerns related to this project.
2. Site Resource and Analysis: Through field research and review of site information and mapping,
the CONSULTANT will work, (in concert with staff, as appropriate), to identify the park's
physical characteristics and determine its developmental opportunities and constraints. This will
allow both the OWNER and CONSULTANT to develop a clear understanding of the site's unique
characteristics and land use limitations imposed on the project
3. Prab:~am >!?evelopment: The CONSULTANT will work closely with the OWNER to:
• Identify and address the many issues affecting the development of this park.
• Identify and define the development concerns, recreational uses, site amenities,
and facilities desired and appropriate for this park.
• Identify, qualify, and prioritize needs.
4. Schematic Site Concept Plans: Building upon the previous tasks, the CONSULTANT will
prepare two or tlu~ee alternative schematic concepts for the site. Specific criteria affecting the
concepts include: ideal physical relationships proposed for the site; taking advantage of site
opportunities; creating a design theme that is appropriate for the area; etc.
5. .Master Plan: Using the adopted concept plan, the CONSULTANT will prepare a master plan
(prefen•ed plan) for the park. The master plan will represent the design solution that best responds
to the needs and desires of the OWNER. The Master Plan shall include the preparation of written
text, plans and other drawings necessary to describe the design, materials, colors, and textures in
sufficient detail for the OWNER to grasp the appearance and function of the improvements. This
includes arefined-layout-as-necessary-and~•eview-and-use-of-appropriate-design-standards-to-ensur
that the plan can be built as illustrated. An overall master plan estimate shall be prepared for the

park development. An implementation phasing plan based upon the cost estimate and the
OWNER's priorities and budget can be prepared, if needed.
Review Meetings: Review Meetings will be held with the OWNER as needed to review over the
plans, with the CONSULTANT making any necessary revisions to the plans as needed.
Public Meetings: Public meetings to be held in Columbia Heights, MN.
• Public meeting to present alternative Site Concept Plans.
• Public meeting to present Park Pre-Master Plan.
• Public meeting to present Final Master Plan.
B. SCOPE OF SERVICES "B" -Design Development and Construction Documentation
Site Design Development: Preparation of design development documents for the OWNER based on the
approved Final Master Plan Design, including additions or deletions as directed by the OWNER. The Design
Development for these items and areas shall include the preparation of written text, plans and other drawings
necessary to describe the design, materials, colors, textures in sufficient detail for the OWNER to grasp the
appearance and function of the improvements.
This includes review and use of appropriate design standards for listed facilities and preparation of design
development drawings. The drawings included; refined site facility layout, landscaping, grading, removals
plans, site utility plans, site lighting plans, etc. and details as required. Outline specifications, including
general and technical sections, will be prepared. The bid form outline will be prepared and used to estimate
construction costs.
A preliminary engineer's estimate of the cost of these improvements shall be prepared from these documents.
From this estimate the OWNER shall determine which of the improvements shall be included in the fmal
phase of design, (Construction Documents).
The CONSULTANT shall prepare Construction Documents for the improvements as approved by the
OWNER for inclusion in this project. These documents shall include plans and other drawings as necessary,
as well as, specifications in sufficient detail for the OWNER to pursue competitive bids for the construction
of the improvements.
The CONSULTANT will provide all of the professional design services, required to complete the plans and
specifications as required for bidding the improvements for this project except the following:
- Geotechnical testing and/or engineering
- Hazardous waste engineering
- Archeological services
- Ecological design services
- Surveying services
The CONSULTANT shall provide coordination of these services should they be required and the OWNER
elect to hire others to complete work required.
C. SCOPE OF SERVICES "C" -Bidding Procedures
Bidding Procedures: The CONSULTANT shall provide oversight of the bidding/quoting process; selection
of contractors; defining bidding/quoting procedures and award of contract procedures. The CONSULTANT
shall also include administration of the project bidding/quoting process, responding to contractor questions
that arise, facilitating apre-bid meeting, general correspondence, and preparation of all addenda as necessary.
This task includes attending the bid opening, review and tabulating of bids/quotes received, reviewing
contractor references, and recommendation of qualified contl-actor.
D. SCOPE OF SERVICES "D" -Construction Administration
Site Observation/Contract Administration: Working collaboratively with OWNER, the CONSULTANT
will undertake project administration and observation of conshuction progress and for adherence to design
intent as expressed in the plans and specifications.
^ Administration of contract, including preparation of application for payment forms, certificate of
payment forms, change order forms, substantial completion forms, final payment forms, etc.

^ Administration of pre-construction meeting to review the project elements and clearly define the
owner's expectations as to the quality of construction, process for dealing with problems that may arise,
timeliness, etc.
^ Site observation on a periodic basis for the established duration of the construction project as stated in
the specifications to ensure that the design intent of the plans and specifications is being met.
^ Preparation of field reports as necessary to document specific issues and areas of concern.
^ Review shop drawings and testing requirements/procedures.
^ On-going correspondence/field meetings with staff and contractor for purposes of reviewing
conshuction progress and discussion of pertinent issues, concerns and upcoming construction.
E. ADDITIONAL SERVICES
Additional Services: Services other than those listed in the Scope of Services above and requested and
authorized in writing by the Owner.
F. FEES FOR PROFESSIONAL SERVICES
1. For services as outlined in Paragraph "A" -Master Planning Services for Ramsdell Park above, a lump
sum fee of Seven Thousand Five Hundred Dollars, ($?,500.0!1) shall apply, plus direct expense:, billed at cost
plus 10%.
2. For services as outlined in Paragraph "B" -Design Development and Construction Documentation
above, a fee to be negotiated with the OWNER upon completion of Scope of Services "A".
3. For services as outlined in Paragraph "C" -Bidding Procedures above, a fee to be negotiated with the
OWNER upon completion of Scope of Services "A".
4. For services as outlined in Paragraph "D" -Construction Administration above, a fee to be negotiated
with the OWNER upon completion of Scope of Services "A".
5. For services as outlined in Paragraph "E" -Additional Services above, an Hourly Fee shall apply, based
upon the rate schedule listed below, plus direct expenses billed at cost plus 10%.

Expenses related to additional services will be billed in addition to the fee @ Cost +10%.
G. PAYMENTS TO THE CONSULTANT
Invoices will be submitted to the OWNER on a monthly or bi-monthly basis in proportion to the work
completed.
Payments on account of the CONSULTANT'S services are due and payable upon receipt of
CONSULTANT'S invoice.
H. OWNER'S RESPONSIBILITY
Full program coordination with one individual representing the OWNER'S interests.
Legal Counsel, advice, and services available to the CONSULTANT during the term of this Agreement on
any or all matters related to the PROJECT such as, but not limited to, title opinions, interpretations of
agreements, covenants and laws affecting the PROJECT, advice and assistance in processing applications,
review and preparation of PROJECT agreement documents, participation in presentations to public agency
staff and boards and general counsel on the legal implications of all substantive or procedural aspects of the
PROJECT itself.
3. Coordinating all meetings and public involvement in the project.

4. Providing all soils engineering borings and engineering geotechnical testing, hazardous waste engineering,
archeological services and ecological design services required for the project.
5. All fees and expenses involved in federal, state agency or local permitting, plan review, etc. for the project.
6. For the Scope of Services outlined in this proposal the OWNER shall provide the CONSULTANT with a
base map information illustrating all topographic contours at 1 foot interval and spot grades, property lines,
property corners, easements, rights of way and other legal issues, existing utilities, buildings, recreational
improvements, vegetation, pavement, curbing, and other surface materials. This base map information shall
be as accurate as possible. The OWNER shall be responsible for the accuracy of this information and shall
determine if this information and the resulting base map are accurate enough for this design process.
I. NONDISCRIMINATION
The CONSULTANT will not discriminate against any employee or applicant for employment because of
race, color, religion, sex, national origin, physical condition or age. The CONSULTANT will take
affirmative action to ensure that applicants are employed and that employees are treated during employment
without regard to their race, color, religion, sex, national origin, physical condition or age. Such action shall
include but not be limited to the following: Employment, upgrading, demotion or transfer, recruitment,
advertising, layoff or termination, rates of pay or other forms of compensation and selection for training
including apprenticeship.
J. CONSULTANT'S RECORDS, DOCUMENTS AND INSURANCE
The CONSULTANT shall maintain time records for hourly fees, design calculations and research notes in
legible form and these will be made available to the OWNER, if requested.
The CONSULTANT shall carry insurance to protect him from claims under Workman's Compensation Acts;
from claims for damages because of bodily injury including death to his employees and the public, and from
claims for property damage.
The CONSULTANT reserves the right to secure and maintain statutory copyright in all published books,
published or unpublished drawings of a scientific or technical character, and other works related to this
PROJECT in which copyright may be claimed. The OWNER shall have full rights to reproduce works under
this Agreement either in whole or in part as related to this PROJECT. One copy of each drawing shall be
provided in reproducible form for use by the OWNER, but the original drawings will remain the property of
the CONSULTANT.
K. TERM, TERMINATION, SUCCESSORS AND ASSIGNS
1. The term of the Agreement shall be concurrent with the work authorized.
2. Termination may be accomplished by either party at any time by written notice, and shall be effective upon
payment in full for all services performed to the date of receipt of such notice.
3. The OWNER and the CONSULTANT each binds itself, its partners, successors, assigns and legal
representatives to the other party of this Agreement, and to the partners, successors, assigns and legal
representatives of such other party with respect to all covenants of this Agreement.
4. Neither the OWNER nor the CONSULTANT shall assign, sublet or transfer his interest in this Agreement
without the written consent of the other.
L. EXTENT OF AGREEMENT AND APPLICABLE LAW
This Agreement represents the entire and integrated Agreement between the OWNER and the
CONSULTANT and supersedes all prior negotiations, representations, or Agreements, whether written or
oral, with respect to the PROJECT. This Agreement may be amended only by written instrument signed by
both OWNER and CONSULTANT.
