OLD BUSINESS
A. Channel Check
Everything was ok.
B. Correspondence Log and Complaint Follow Up.
Complaint by William Proft, 999 4151 Ave-He questioned a $15 overcharge on his bill and a $4.99
increase in the digital package he subscribes to. A copy of the letter Kathi Donnelly-Cohen sent
him was enclosed in the agenda packet. It explains that his bill was itemized rather than given the
package discount for the Digital Bronze Service and a copy of the notice for the increase to this
package and his converter was also included.
LeAnn Anderson-941 42 %2 Ave-She had moved the end of July and the landlord tapped into her
system and would not allow access for removal of the equipment. AT & T has since terminated
service and as soon as she returns the cable modem her account will be credited for all chazges
since her vacating the premise.
Bruce Ordway-He faxed over several comments which were forwarded to Kathi Donnelly-Cohen.
He complained about the TV Guide channel and the amount of advertising on it. He also
complained that his signal quality was poor and questioned Pay Aer View movie orders for more
than one television in the home. Kathi addressed all of his concerns and explained that Pay Per
View movies can be ordered on more than one tv for a single chazge, but must be done through the
remote control for each tv set.

C. Status of Cease and Desist Order to AT & T
Steve Guzzetta reported that an agreement had been reached on new arbitration language to our
legal counsel's satisfaction. Therefore, the Cease and Desist Order to AT & T can be withdrawn
by the City Council.
Motion by Dennis, second by Brad to recommend the City Council withdraw the Cease and Desist
Order to AT & T as the issue has been resolved.
D. AT & T's Current Reporting of Telephone Statistics
This issue is still of concern to Cable Administrators and is still being discussed at their meetings.
Steve Guzzetta will report back if anything is decided on this issue.
E. Proof of Performance Testing
Notice of the Performance Testing that took place in August was included in the packet for
informational purposes only.
F. Franchise Fee Payment for 2"~ Quarter 2002
A copy of the franchise fees received for 2"d Quarter 2002 were enclosed in the agenda packets.
G. Internet Tiered Packages Beginning August 1, 2002
A copy of the letter notifying the City that a new package had been added to Internet Service
subscribers was enclosed in the packets. In addition to ChoiceLink, the previously offered
package, UltraLink was added effective August ls`. This service offers much faster connection and
downloading speed capabilities than ChoiceLink at a higher price. One advantage of these
services over AOL is that subscribers do not need an additional phone line as they do with AOL.
H. Analog Music Choice no Longer Available after September 9, 2002
As of September 9, 2002, Music Choice is no longer offered as an a la carte option on analog
video service. Subscribers have the option to purchase DMX as part of the digital format.

NEW BUSINESS
A. Rate Regulation Options
In August Creighton Bradley & Guzzetta, LLC prepared a memorandum for its AT & T
Broadband clients outlining 5 options they could select from to deal with AT & T's pending
rate filing. Since it does not appear that a sufficient number of clients are willing to underwrite
the cost of an extensive rate review, CBG believes Options C & D strike the best balance
between cost, risk, and preservation of rights. The following is a brief summary of each
option:
a. Do nothing-Let the company raise rates and we would have no rights to go back and review
figures or order action.
b. We could de-certify-We would not be able to regulate rates and the company would have
the right to do as it wished. Even though we currently don't have many rights, we
shouldn't give up the ones that we do have. And any changes to laws could have an impact
on our rights in the future, thus we should preserve them.
c. Perform no review and issue a Rate Order preserving our rights-We could forego a
substantive review of the Forms 1240 and 1205 filed in March 2002 and issue a rate order
that neither approves or disapproves the proposed rate, but reserves any rights we may have
going forward. Such an order would have to be adopted within the 12 month review period
provided under the FCC's rate regulation rules. This is the option Steve recommends we
take.
d. Perform an abbreviated review to determine if the 2001-2002 settlement has been properly
implemented-We could review forms to determine if the settlement rates were used in the
March 2002 Forms 1240 and 1205, and the rates were calculated and implemented
consistent with the settlement agreement as set forth in our last rate orders. Steve had
forwarded a letter and some information to Ashpaugh and he didn't see anything that sent
up a red flag, so he doesn't feel we should necessarily pursue this option.
e. Full blown rate review-This would allow us to examine the figures closely, and the rules
established by the FCC. This would be costly and is best done as a large group to share
expenses.
After some discussion, it was decided that Option "C" seemed to be the best course to take.
Motion by Brad, second by Dave to recommend the City Council adopt a Rate Order that
preserves our rights and allows for fixture action if deemed necessary. All Ayes. MOTION
PASSED.
B. Customer Service Notice being Mailed to Subscribers
Copies of the notices being mailed out to subscribers were enclosed in the agenda packets.
C. MALTA Connections Publication for Fall 2002
A copy of the newsletter was enclosed in the agenda packets for the commission members to
review. Linda will check on the mailing list for MALTA to see that commission members
receive these newsletters directly.

D. Other New Business
Bruce Nawrocki reiterated his position that Channels 15 & 16 (Access Channels) should be
combined as programming on the two is often times duplicated. He feels subscribers should
not be paying for two access channels when one would serve the needs of the community. As
the budget is being considered at this time, he felt it was appropriate to discuss the possibility
of combining them now.
Bmce then went on to report that he had recently attended a meeting of the Suburban Rate
Authority in Shakopee where he learned that Shakopee had installed a Fiber Optic I-Net
Connection shared by the City, School District, and Local Businesses. They worked closely
with the Shakopee Public Utility Co. and this connection provides them with hi speed data and
telephone service which Time Warner was not willing to provide. The person who
spearheaded this project will be writing an article about this joint venture for the NATOA
Newsletter. Linda will see that the commission members receive a copy. It was noted that this
issue will probably be addressed during our upcoming renewal process.
REPORTS
A. Report of Commissioners
Education-Dennis reported that a Candidate Forum for those running for School Board was
taped and is being broadcast on the School Access Channel 18. He encouraged everyone to
take the time to view it. He also stated that they have a new character generator system that
provides the messaging on the channel and that it is greatly improved.
Government- It was noted that the local candidates running for Ciry Offices were being
taped in a Forum sponsored by the League of Women Voters. This also will be re-
broadcast on Channel 16.

B. Report of AT & T Broadband-
Kathi reviewed the reports and answered questions for July, August, and September 2002.
It was noted the renewal process will begin three years prior to the expiration of the current
franchise which is November 9, 2006. Kathi also reported the merger is moving forward
and AT & T Comcast has received the IRS Tax Ruling. They are still waiting for the FCC
to take necessary action.
C. Report of the Cable Attorney
1. The FCC held a Public Forum on Right of Way Issues. One of the topics discussed
was that connection to broadband is not being implemented as fast as expected. If
interested, you can download the discussion and high points of the meeting from
the Internet.
2. ECO Star and Direct TV's merger has been rejected by the FCC as it would create a
monopoly and could adversely affect subscribers especially in rural areas where
cable is not yet available as an alternative choice.
3. The Court Case of Charter vs. Santa Cruz which had bad implications for Cities
holding franchises, was reversed in District Court. Steve will keep us infornied of
new developments regarding this.

Linda reported the City has received a check from AT & T for the expenses incurred during
the transfer process.

Jean,
Last Monday, I spoke to you briefly regarding Liz Fife's (4510 Madison St.
NE, (763)571-1363) subscriber complaint filed on Dec. 30, 2002
and wanted to update you on the progress and final resolution of this
situation.
FYI, I contacted Liz this morning and listened to her story. She was very
patient and sincere in her explanation. I apologized for the
misunderstanding
wanted to let her know we are on her side. Subsquently, the digital service
was removed by AT&T and her standard cable service was restored.
In addition, AT&T credited (prorated) her account for the month of digital
service she received.
I spoke to her later in the day to report the credit and she seemed very
pleased.
In my opinion, as far as Liz Fife is concerned, this case is closed.

Re: Price Increase
Dear Mr. Cleasby:
In March of 2002, the Federal Communications Commission classified cable modem service as
an information service, not a cable service. As such, we no longer collected franchise fees on the
cable modem service effective March 17. A notice of that was on your April billing statement. If
your billing cycle reflected that fees were charged; for example -your bill cycle may be from
February 27 to March 26 and we collected franchise fees for that whole period, then the fees paid
for March 17 to 26 were owed back to you. Due to a computer error, while we no longer charged
and collected the franchise fees on that service alter March 17, the credit on your account was
delayed until the September bill cycle. That was credited but noted as "credit utility tax erl". I
know this was confusing. A credit of $4.50 does show on the attached ledger.
In late November 2002, we sent a postcard to all customers, first class mail, informing them of the
January price increase. In addition, we noted that on the cable system, running a notice for 7
days, 24 hours a day, prior to January 1. I have enclosed a photocopy of the notice that was sent.
As the notice was sent first class, to the address where all other bills and correspondence are
sent, I have no way to confirm that you did receive it. The only way to do that would be to send
certified mail and a signature is required. This would be very costly and only increase our cost to
do business down the road.
Many customers are unaware that we pay for the programming to distribute on the system. Each
year our costs are increased by the programmers as they secure rights to additional sporting
events, negotiate with major studios for movies and create original programming. Last year alone,
the cost of these services increased to us by over 13% yet we did not pass the entire amount on
to the customer. Programming costs are increasing for everyone. DirectTV just announced a
price increase as well.

I will give you a full response tomorrow. The "utility" refund was a weird
name to call it. This is the amount we collected from him as franchise fee
for high speed Internet from March 1 to March 15 when the FCC ruled. We put
a notice on the bill that said he were no longer collecting the franchise
fee on this and he would get a refund. He got the refund.
Second issue -rate notice was sent as a separate postcard a month ago.
Notice on crawl on system for 7 days prior to January 1 in Heights as per
the franchise. I can only send him a copy of the notice. It was sent to
same address as bill. I cannot verify that he received it or read it, only
that it was sent first class.

RE: Analog Pay-Per-View
Dear Linda:

In our commitment to keep you informed, I am writing to advise you of some programming
changes AT&T Broadband will be making over the next few months.
On December 4, the analog pay-per-view channels, which are currently duplicated in the digital
bandwidth, will be eliminated. Our digital services offer superior sound and picture quality, as
well as more programming options. This move also helps prepare for the launch of new services
such as High Definition Television.
You may recall that we eliminated the analog premium services when we offered the one-way
Digital Cable packages prior to the upgrade. The only analog pay channels that have remained
have been the pay-per-view channels. After December 4, subscribers will be required to have a
digital converter to order pay-per-view programming.
The affected subscribers are being notified with a letter; and a reminder postcard and a phone
call will follow if necessary. We will make the transition as easy as possible by either scheduling
service appointments to replace the existing analog converters or make them available (with
installation instructions) at our local cable stores in Brooklyn Park, Roseville, St. Paul and Inver
Grove Heights.

Just wanted you to know that slowly but surely we're making some progress
with our Channel 18.
We're starting a TV production club at the high school and we've got a dozen
students interested in taping and editing programs for the cable channel.

At the closing of the AT&T Broadband and Comcast transaction, it was agreed with AT&T Corp.
that continued use of the AT&T name by the cable companies would create unnecessary
confusion for consumers and imply a relationship to AT&T Corp. that does not exist. Therefore,

franchise with your community, subject to applicable law.

In an effort to keep you fully informed, I would like to take a few moments to tell you
about a change in offerings for new customers of our high-speed Internet access
product. As of Tuesday, December 10th, all new cable modem customers will be
connected to the World Wide Web via the Comcast.net platform. Our current cable
modem customers will continue to be served by AT&T Broadband Internet.
There are a number of similarities between AT&T Broadband Internet and the features
new customers will experience with Comcast.net. Users of both platforms will be
connected at download /upload speeds of 1.5Mb and 256kb, respectively. New
Comcast.net customers will have the option of doing a `self-installation' or arranging for
an AT&T Broadband technician to perform the installation for them. All customers will
continue to have access to 24-hour-a-day, seven-days-a-week customer servioe.
Differences between the two services include seven a-mail addresses for Comcast.net
users vs. six for ATTBI customers, as well as distinct home page content for each. In
addition, there will be a variation in service prices for those Comcast.net customers who
do not subscribe to our video service:

I am writing to notify you that effective with January 2003 customer statements, we will be changing the
price of some AT&T Broadband services. We are notifying customers of these changes via postcard (a
copy of which is attached).
As you know, AT&T Broadband has historically reviewed and adjusted prices at this time of year; 2003
is no exception. These price changes reflect the value our customers receive and an increased itrvestment
in broadband networks, customer service, and cable programming. To that end, I have enclosed a fact
sheet that summarizes some of the highlights of these investments. Please also note that there is no
change at this time in the price of Basic Cable, equipment, installation prices, current AT&T Broadband
Internet service or AT&T Broadband phone service.
We continue to invest heavily in bringing customers the best cable programming available, at a time when
cable networks are developing popular original series and movies and are offering more popular
syndicated and sports programming than ever before.
AT&T Broadband makes these pricing decisions in an especially competitive environment. Across the
area, we face significant competition from two national satellite providers, neither of which provides
public/education/government access channels, collects or pays franchise fees, employs local residents, or
contributes to the quality of life in our community. In addition, we now face competition in large
apartment complexes from provides of video, Internet and phone service.
Finally, I want to state unequivocally that these price changes are unrelated to our recent combination
with Comcast. Again, AT&T Broadband has customarily adjusted the price of some services at this time
of year; these price changes would have occurred even if AT&T Broadband were still part of AT&T.

2003 Price Adjustments Key Facts
These price changes are unrelated to the AT&T Broadband-Comcast combination
Since AT&T Broadbaud began serving the Twin Cities area, it has adjusted prices this time of year. The 2003 price
changes we are atmouncing now are simply a continuation of that historical practice, mtd would have occurred even
if AT&T Broadband were still a unit of AT&T,
Average price increase: 6.8%; no price change for many AT&T Broadband services
Effective with January 2003 bills, prices for Standard Basic Cable (which comprises most the most popular cable
networks like ESPN, CNN, your local sports chancel like Fox Sports Net, Lifetime, and others), a la carte premium
networks like HBO and Showtime (and any premium package prices), and digital cable value packages will
increase. There is no change at this time in the prices for Basic Cable, equipment such as set-up boxes and remotes,
A'1'&'I' Broadband Internet service, or AT&T Digital Phone service.
AT&T Broadband prices its services in an extremely competitive environment
Twin Cities-area customers enjoy unprecedented choices when it comes to entertainment and information service
providers. Across our product lines, AT&T Broadbaud faces stiff competition every day. In the video
entertainment arena alone, AT&T Broadband competes with two national satellite providers across the entire Twin
Cities area. We face even greater competition in large apartment complexes with companies that provide video,
Internet and telephone services.
AT&T Broadband provides customers more value through increased investment
The Most Advanced, Reliable Broadband Networks
During 2002, AT&T Broadband continued to upgrade its Twin Cities-area broadband networks. These investments
are part of a $2 billion commitment nationwide to complete the upgrade of our broadband networks over the next
two years. This investment delivers better value to AT&"t Broadband customers in two important ways;
• Upgraded networks provide greater service quality and reliability to every AT&T Broadband customer.
• Upgraded networks provide customers access to new products and services, including digital cable, AT&T
Broadbaud Internet, AT&T Digital Phone service ...plus new services, including video on demand and high-
definition television (HDTV). Specifically, we expect to be able to offer high-speed Internet to 100 percent of
the homes passed by our broadband networks by year-end 2003.
24/7 Customer Service & Network Management
In a competitive marketplace in which consumers have unprecedented entertainment choices, AT&T Broadband
continues to invest heavily in customer service:
• AT&T Broadbaud provides 24/7 customer service via toll-free phone lines for all products.
• AT&T Broadband's Broadband Service Assurance Center monitors AT&T Broadband's network performance
24 hours a day, ensuring rapid response vtd resolution to any service iutetnrption, while performing customer-
affecting network maintenance during overnight hours.
Cable Programming
When you receive your AT&T Broadband statement each month, the biggest single expense you're paying for is the
cost of cable programming.
Many customers do not know that AT&T Broadband pays cable networks for their programming, not the other way
around. The price AT&T Broadband pays cable networks -for basic programming alone -has increased more
than 13,2% ou average each year fm' the past tluee year's. By contrast, through sh'eantliuing operations, cost savings,
and teclmology, AT&T Broadbaud has been able to limit the increase in the price for AT&T Broadband Expanded
Cable to just over 6% over the same period.
New channels in 2003
We are please to advise you that we will add Golf Channel and Outdoor Life to Basic 2 subscribers.
Programming investments at existing networks
Meanwhile, at well-established networks, cable programming is cmrtinually improving. Cable networks, in a
competitive 200-channel world, are making major investments in progranuning. Those investments increase the
value of their progrmmniog. From ESPN and TN"f's new $4.6-billion deal with the NBA, to TNT's exchisive rights
to expensive syndicated shows like ER and Law & Ordw•, to popular original programming on FX (The Shielrn,
IIBO (The Sopranos, Sex and the City, etc.), this increased value is reflected in the price customers pay.
