The meeting was called to order at 7:05 p.m. by Linda Magee due to the absence of Dennis Stroik.

APPROVAL OF MINUTES
Motion by Bob Buboltz, secortrled by Bradley Peterson, to approve tke minutes from the rneetirtg of'November 16,

OLD BUSINESS
A. Channel Check
There were vertical line rolls through the picture on Library Channel 19. Programming has also been
intermittently disrupted according to the commission members. Reuben felt it was an amplifier problem
somewhere along the line. Katlri will have this checked out.
B. Correspondence Log and Complaint Follow Up.
#140-Yund-A service tech was at the wrong address and mistakenly disconnected Mr. Yund's satellite
service. His service was restored the following day and an apology was given.
#141-Levoir-Confused over bill. He was contacted, the billing was explained, he dropped premium
package, and was given a $55 credit for confusion.
#142-Hurley-Complained that she was treated rudely by customer service supervisor. She claims she was
given the run around regarding the reason for an outage in her neighborhood. Her service has been restored
and the problem is resolved.
#143-LaPlant-Complained that service to neighbor's house is just above her garage and a more direct pole
should have been used. The service was moved to other pole.
#144-Johnson-Complained that he was unable to get through to customer service about reception
problems. He was sent a letter explaining that a fiber optic line had inadvertently been cut that provided
service to our area. Due to the large number of people affected, customer service lines were overloaded.
C. Franchise Fee Analysis Report
Steve reminded comission members that we started the audit on franchise fees approximately one year
ago. Maplewood was used for the test market area for a one year period. There was an underpayment of
$8,000 due to various reasons. AT & T disagrees with the findings and has asked for information used in
the audit. They are in the process of preparing a response based on the information they received. A
meeting will be called when the response is received and the various commissions/cities can decide on the
action they wish to take at that time. He will keep the city informed regarding the status of this issue.

D. Other Old Business
There was no other old business.
NEW BUSINESS
A. Addition of Two Charmels Effective January 5, 2001.
Notice was received in December that two channels were being added to the digital basic
package. National Geographic and Style will be added at no additional cost.
B. Price Increase Effective February 1, 2001
Notice was received January 2"`'regarding price increases effective February 1, 2001. A
copy of this notice was enclosed in the agenda packet. Since the city can only regulate
price increases to the basic service tier, no action on this item carr be taken.
Kathi stated that another price increase will probably be implemented July 15'. This
increase will affect the Basic 1 tier and the commission will need to go through the
approval process for that increase.
C. Notice ofSemi-Annual Proof of Performance Testing Scheduled for February
Written notice was received that Proof of Performance Testing will be taking place in
February. The testing process could cause some short interruptions of service on a few
channels, brtt most subscribers will be unaware of it.
D. Franchise Fees Received for 410 Quarter, 2000
The franchise fee payment of $32,412.76 for 4"' quarter 2000 was received. Franchise fees
are being paid on high speed Internet service at this time. However, pending the outcome
of litigation regarding this issue, this practice could change.
E. Everest Connection Corporation's Suspension of Franchising Discussions due to Possible
Merger with Seren Innovations.
Linda reminded everyone that in November, the council found Everest Connection Corp.
legally, technically, and financially qualified to hold a franchise within our city and Wide
Open West's application was put on temporary hold as requested. Since that time, Everest
Connection Corp, has also put their request on hold as they are in negotiations for a
possible merger with Seren hmovations.

F. MALTA 2001 Legislative Recommendations
Steve Guzzetta explained that Senator Kelly has submitted an administrative bill that does
not meet with all of MACTA's goals and they are trying to decide whether to submit their
own bill or try to amend Senator Kelly's.
In MACTA's proposed bill, companies providing cable television services would have to
apply to the MN Public Utilities Commission for a Certificate of Public Convenience and
Necessity, just as telephone companies currently do. The MPUC would then take over the
responsibility for examining a new entrant's legal, teclurical, and financial qualifications to
build a system and conduct business in the state. The state would also be responsible for
transfers of ownership and rate regulation.
G. Other New Business
Ken Henke reported that EMWIN is now available in the Twin Cities from some
companies providing this digital service. EMWIN is a continuous weather service chancel.
Kathi responded that AT & T Broadband does not have any agreement for broadcasting
this service at this time.
Reuben stated that he had not received the e-mail addresses of the other commission
members that he requested. Ken said he had received them and that he would forward
them to Reuben. Reuben also reported that Metricom is in financial trouble according to
an article he read recently. ?.rrd he also shared that he now has AT & T telephone service
and he is happy with the service thus far.
Dan Swee asked about adding NASA programming to our line up. Kathi stated they
would be happy to use one of our access channels to provide NASA programming. This is
something the commission members will need to discuss and decide if they wish to move
forward with that action. She stated that NASA could be programmed on Channel 15
Public Access, Channel 16 Government Access, Chamiel 18 Educational Access, or
Channel 19 Library Access if they felt it appropriate. Channel 14 is now used as leased
access space, and is not available for the NASA feed.

B. Report of AT & T Br•oadband-
Kathi reviewed the channel line up, new charges, the telephone service reports, and the
new digital packages being offered. She also reported that there have been a number of lay
offs at AT & T in managerial positions, marketing department positions, and the local
origination department has been eliminated. We are the only city to still have local
origination support as part of our franchise requirements.

C. Report of the Cable Attorney
Steve reported that Michael Powell has been named the new FCC Chair. He believes in
market forces and competition. He dislikes regulation and takes a narrow view of the
power the FCC should have over services provided in the telecommunications field. He
also stated that Ness and Roth are leaving, so President Bush will need to appoint two new
people to the commission.
He further stated, that City Signal is taking on the Right of Way policies in Ohio. This is a
case that maybe decided by the FCC. And the open access issue is still being deliberated
by the FCC. So far no action has been taken regarding this issue. He will keep the
commission members informed of any action taken on these issues.

Linda Magee asked me to research your account and provide an answer to your question. In
June of 1998, we stopped selling the package of premium services to which you had subscribed.
We sent all subscribers a letter telling them that the package would go away after a period of
time. The rate was not increased at that time. Two years ago, when we launched the new
upgraded services, Showtime 2 was no longer offered. Now as we launched the digital
packages, and are preparing to change to a new billing format, we needed to move the remaining
subscribers to those old packages to another service. Over the course of the past two years, we
have been telemarketing these subscribers to offer them a different package. Those who still
remained had to be moved by late March.
A letter was sent (see enclosed) that explained this. Due to the price difference, we cannot move
you in to a comparable package if it costs significantly more without your permission. The letter
explains that if we do not hear from you, we will move you to HBO/HBO 2 at $10.95. If you chose
another package, then you must tell us what package is best for you. While the old packages
offered 2 HBO's for example, the new digital packages offer 4 HBO, 4 Showtimes, etc. (see grid
attached). You cannot get the exact same services that you had before, you can get MORE.
These premiums are in addition to the over 40 digital basic channels, 30+ digital music service,
the Electronic Program guide and the special digital converter and remote. Please note that due
to the huge response we are getting to the digital packages, we must limit the converters in any
one home to 2 at this time. As additional converters are available, we will make sure subscribers
who wish to have more than two connections may do so.
I have attached a ledger of your account. Recently your monthly bill increased due to the addition
of High Speed Data service at $39.95 on March 8. While HBO was added on April 8, Showtime,
Cinemax and The Movie Channels were all added on an a la carte basis. This is a very
expensive way to purchase the services. I have enclosed both the digital grid and the current
rate card. Please look over the programming options and let us know what you would like to do.
As I said, the way you have ordered the services a la carte, is costing you much more money
than it should.

On behalf of UtiliCorp Communications Services, Inc., the majority investor in Everest

As we discussed, the unexpected tightening in capital markets for both debt and equity has
forced us to move forward at a more measured pace. This pace allows us to meet the financial
market's new requirement that we prove the viability of our business model in the marketplace

In our continuing effort to keep you informed AT&T Broadband would like to advise you
on an initiative the Company is undertaking to simplify customer bills.
Currently, customer bills reflect separate line items for Basic 1 and 2 service tiers.
Rather than list these services and prices separately, May bills (concurrent with the previously
announced billing system change from Cable Data to CSG) will display a single line item called
"Standard Cable" at a combined package price. All current package descriptions with Basic 1
and Basic 2 tiers will also be replaced with the Standard Cable name. Customers who do not
currently subscribe to the Basic 2 tier will not experience any change.
The new package will appear on the customer's bill as:
Standard Cable $ZZ.ZZ
(Includes Basic 1 at $XX.XX and Basic 2 at $YY.YY)
Please note: This will not result in a chans~e to the price that customers currently
pay to receive Basic 1 and Basic 2 service.
We believe that moving the new Standard Cable format will simplify customer bills and
other customer communication by showing one service package instead of multiple services.
Notification to affected customers will be provided by a bill message.

Re: Change in Billing Systems

To better serve our customers and to accommodate the needs of our expanding
business, we will be converting to a new billing system. We will change from our
current CableData billing and information system to the newest version of CSG. This
change will take effect in May, 2001.
We are making this change in billing systems for a number of reasons. With the
expansion of our service offerings such as digital tiers of programming and Internet
services, we are reaching the limits on the capabilities of our existing system. For
example, we are finding that we need to eliminate some old pricing packages in order to
have enough rate codes to introduce new packages or services.
The CSG system will also provide more flexibility in tracking and assigning work
orders. The new system with graphical user interface will make it faster and easier for
customer service professions to assist the customer. In addition, the number of billing
cycles will change firom the current 4 to 24 per month. ~i-he multiple billing cycles will
spread the call volume throughout the month.
Staff from the Learning and Development area is currently being trained on CSG
and will be qualified to teach the operation on site. All Customer Service personnel will
be trained throughout the month of April and will be qualified to respond to customer's
inquiries regarding the new format and billing system. We will be appropriately staffed
to handle additional telephone traffic from customers as they receive their new bills.
Enclosed is a copy of a bill currently used in another market. As this is from
another system, please understand that the rates, company name and phone numbers
will be specific to our area once the pieces are printed. Also enclosed is a draft of an

insert that will explain the new bill format to customers. This insert will accompany the
first statement received in the new format.
We believe that the CSG billing system as well as the new billing format will meet
the needs of our customers and provide them with the services that they expect. If you

Everything checked out fine.
B. Correspondence Log and Complaint Follow Up.
There were no complaints received by the City since the last meeting. An AT & T Broadband
Service Technician checked out Mr. Nawrocki's cable reception problem. He needed some
fittings tightened and other adjushnents made. He reports his reception has never been better.
C Franchise Fee Analysis Update
Steve Guzzetta reported that most of the issues had been resolved daring their meetings with Kafhi
Donnelly-Cohen and Dave Sikora. There is still an issue with advertising commission figures.
This should be resolved once they receive more information.
D. D. 2000 Annual Report-Remaining Outstanding Item-Financial Information
The financial statement prepared by an accountant was not received by the time the meeting took
place. Kathi Donnelly-Cohen said she would see it is sent over as soon as it is received.

E. Review of Forms L240 and 1205 for Rate Increase Effective July 1, 200 L
There has been a problem getting programming cost information from AT & T for the
1240 Form, due Co what they feel is confidential information. They are working on an
agreement that the aecouncant would need to sign that would protect AT & T's confidential
concerns, as well as providing the accountant with an opportmity to review the
information he needs to finalize his report.
The accountant is also still reviewing the 1205 Form as the company has switched to using
national figures, rather than local cosC information. This is the first year this approach has
been used in this system so it is Caking additional time to review. The City has already
decided to allocate an additional $600 to further iuvesCigate the figures.

A. Recommend Holding a Public Hearing November 13, 2001
Steve Guzzetca explained that according to our Policy & Procedures Regarding Rate
Regulation Issues, the City is required to hold a Public Heating to discuss these matters. If
the City decides the races charged are excessive from those allowed, a reftmd to subscribers
could be ordered. AT & T could then appeal this order if they chose.
Kathi Domlelly-Cohen explained maxinuun permitted rates. As long as AT & T charges
less than the maximum amount allowed, iC is acceptable. The maximmn rate allowed is
determined by FCC Standards. The rate used this year will affect rates charged next year.

Educational-Dermis reported the School DistricC is in the purchasing stage of the
equipment we recently approved funding for.

B. Report of AT & T Broadburcl-
The reports were enclosed in the agenda packets. Dave Mahoney asked for clarification of
some of the figures. Kathi also reported that the Policies and Procedures Notice is
enclosed in this month's billing which is required to be done on aii annual basis.
C. Report of the Cable Attorney
Excite a Home, which replaced Roadrunner, has filed banlauptcy. AT & T is working with
them to resolve some of their financial issues. There should be no disruption in service for
this area.
The firm of Creighton, Bradley, Guzzetta received a letter from KARE 11 on behalf of the
Cities/franchises they represent. I{ARE I 1 has requested that those franchising authorities
that have the ability to override their signal in case of emergency, discontinue doing so.
They believe the message scrolls they already do is adequate. However, local issues may
not be amiounced as K.4RE 11 would only run that information they deem news worthy.
AT & T cannot discontinue the present practice of our local police department having the
authority to run emergency messages, if we do not give them authorization to do so. This
will probably be discussed fiuther iu the future.
D. Report of the Special Projects Coordinator
Jean reported we have a new employee working at the Cable Studio, Steve Antus. Jean
reports he is very enthusiastic acid well suited for the position.
The subject of the Holiday Party was discussed. It was the general consensus to have the
holiday dinner in Jamrary, as is it a less hectic time of year. The choice of restaurants was
left to staff to decide. It is, therefore, scheduled for Jamrary 17, 2002.
E. Report of Reuben Ruen
He had a question regarding cable modems and their response time. Kathi explained that
HSD calls take on the average of 45 minutes or more to solve problems that are mostly for
technical support, compared to video service calls that average 3 minutes. The technical
snpporC situations are really not AT & T's problem. They provide the conduit for the
service only, not the software or operational services support.

We would like to inform you of same changes that will affect Columbia Heights subscribers in
December.
Several programming services currently on the Basic 2 tier will became part of our digital
programming options. First, on December 18, The Game Show Channel, which is currently on
Channel 60 on a part time basis, will move to the Digital Basic tier and be a full time service.
Court TV, which currently shares the channel with the Game Show Network, will remain on
Chanriel 60 and willbe a full time service;'Also oh December 18,Speedvision will move to the
digital Sports and Information Bonus Choide Padk and will be replaced with a channel that has
yet to be determined do Channel 28. The Golf Channel will move t6 the Digital Basic tier and will
be replaced on Channel 30 with Hallmark (formerly known as Odyssey).
At fhe time we introduced our digital programming, some of our services were duplicated in the
digital format. Specifically, premium channels and music channels are available in both analog
and digital formats. However, the qualify of the programming is superior in the digital format. Tho
digital format provided premium subscribers with more screens of programming -HBO, for
example, offers two screens in analog format and 4 screens in digital format. The digital format
also offers superior picture and sound quality.
As you know, the digital format requires a different converter than the analog converters that have
been used by subscribers to these services. The temporary duplication of some programming
was done to avoid disruption of service that inevitably would have occurred if all subscribers to
these services had to change their equipment at the same time. Since we introduced the digital
programming, many subscribers have signed up for the service and had digital converters
installed in their homes.
Effective December 18, 2001, premium channels (both a la carte and packages) and Music
Choice will no longer be available to subscribers in Columbia Heights. in analog format.
Subscribers to a la carte analog premium service will move to the corresponding a la carte digital
premium service. Subscribers to an analog premium package will need to make a selection from
our a la carte digital premium services or a Digital Value Package. DMX Musiais offered as part
of Digital Programming Access Fee, which is $4.99 per month compared to the current $6.95 per
month charge for Music Choice.

All remaining subscribers to analog premium or music channels will need to exchange their
current converter for a digital converter. The monthly charge for a digital converter is the same as
the analog converter. In preparation for the December 18 change, we will work very hard to
contact each subscriber of analog premium services or Music Choice and make the necessary
arrangements to replace their current equipment at their convenience. It is not necessary for
current digital subscribers or those who subscribe only to Universal, Basic 1 or Standard cable to
make any equipment changes.
We will be notifying all subscribers of the programming changes. A notice will also be placed in
the local newspaper, and we will run crawls on Channels 28, 30, and 60 in advance of the
changes to Speedvision, The Golf Channel and Game Show/Court TV. Subscribers of analog
premium services and Music Choice will be sent letters as well as receiving phone calls tc make
arrangements to exchange their equipment.
For your reference, I have updated the monthly line-up information to reflect the changes we will
be making in December. Please feel free tc contact me with any questions or comments you

Re: Video Editing Equipment Update
The purpose of this memo is to provide an update to the Commission on the status of the
Telecommunications Commission Grant received by Columbia Heights Public Schools.
On Tuesday, September 25, 2001, the Columbia Heights Public Schools Board of Education
approved the acceptance of the Telecommunications Grant. Once the Grant was accepted, the
order for hardware, software, installation, and training was placed with AvDigital of St. Paul,
Minnesota.
Installation of hardware and software took place on Friday, December 7, 2001. Some hardware
items are on back order and should be installed before the first of the year. There are a few
technology implementation issues that the District Technology Team and the vendor are
working on at this time. These issues are not considered serious and appear to be related to
antivirus software and desktop security software currently on the computers.
Training on the use of the Cinestream software for the Television Production teacher, Jeremy
Sellman, and students in the Television Production course will be scheduled for the end of
January once the new semester has started. The students who are currently enrolled in the
class will finish the course on January 18, 2002, so training for these students is not as
beneficial as training for students who will begin the Television Production course on January
23, 2002. The training will be conducted by AvDigital and will be held onsite.
Mr. Sellman is confident that there will be program possibilities before the end of the 2001-2002
school year. Having the additional editing equipment will mean more opportunities for students
to edit their videotapes.
