PRIORITY BLOCK TIME AGREEMENT PARTIES: The following are terms and conditions under which PC SOLUTIONS INCORPORATED (PC Solutions) will provide professional services to: Cit~ of Columbia Heights 590 40th Avenue NE Columbia Heights, MN 55421 PHONE: 763-706-3600 EFFECTIVE DATE: September 21, 2000 (Client) AVAILABLE SERVICES: The list of services to be made available from PC Solutions to the Client are described in "ATTACHMENT A" to this agreement. FILE SERVER MAINTENANCE AGREEMENT: Terms of this agreement are described in "ATTACHMENT D" to this agreement. CHARGES AND PAYMENT: Charges under this agreement are described in "ATTACHMENT B". Any supplies (hardware/software) required to repair, maintain or replace hardware (except in the case of an alternate hardware service agreemen0 will be applied against this agreement at PC Solutions's then applicable rates. Client agrees to pay PC Solutions all applicable taxes. Client agrees to reimburse PC Solutions for any costs incurred by PC Solutions for long distance phone services incurred on the Client's behalf. INITIATION OF SERVICES: Professional services accrue from the time the technician: Begins speaking to the Client over the phone until the end of the phone conversation, departs for the Client site until he/she leaves Client site, makes a dial-up connection to the Client's on-site equipment via modem until that connection is ended, in any other way incurs time on a Client's behalf, including, but not limited to, research, technical support calls to manufacturers and preparation for installations. MINIMUM SERVICES: Telephone support charges will be incurred by the Client in fifteen (15) minute increments with a fifteen (15) minute minimum per incident. Standard on-site support charges will be incurred at a one (1) hour minimum, plus mileage and parts. Overtime service may be available and will be incurred at a two (2) hour minimum, plus parts, mileage and expenses. STANDARD TIME / OVERTIME: Standard time of service is 8:00 AM to 5:00 PM, Monday through Friday CST, excluding legal holidays. Services to be performed at times other than standard times of service may be available on an overtime basis. Overtime rates are described in "ATTACHMENT B". RESPONSE OBJECTIVES: Logged emergency calls will receive telephone response within two (2) business hours. Problem resolution will begin within four (4) business hours. All non-emergency calls will have a maximum four (4) business hour response time unless otherwise agreed upon by PC Solutions and the Client. REASONABLE NOTIFICATION / ACCESS: Client shall notify PC Solutions by telephone or in person of any requirements for service, through PC Solutions's standard call logging procedures. Client agrees to employ reasonable measures to assist PC Solutions's technician in determining the service required. Client shall allow PC Solutions reasonable access to the equipment to be serviced/supported, and, at no charge to PC Solutions, allow reasonable use of necessary communication facilities for PC Solutions to affect necessary services. Client shall provide adequate working space, including heat, light, ventilation, electrical current and outlets for the use of PC Solutions's technicians. These facilities shall be within reasonable proximity of the equipment and shall be provided at no charge to PC Solutions. AUTHORIZED CONTACTS: Client agrees to provide PC Solutions a written list of the persons authorized to request service from PC Solutions. Client further agrees to provide, in writing, any changes to this list of authorized contacts. If Client elects not to provide said list, PC Solutions will assume all contacts from Client site are authorized to request services of PC Solutions on behalf of Client. This agreement is not assignable by Client without the prior written consent of PC Solutions and any attempted assignment without prior written consent shall void this agreement. DIAL-UP SERVICES: Clients requesting dial-up support services or remote network administration are required to furnish a phone line, a modem and a telecommunications soft-ware package, meeting minimum requirements as set by PC Solutions. It is the responsibility of the Client to ensure that all of its files are adequately duplicated and documented. PC Solutions will not be responsible for Client's failure to do so, nor for the cost of reconstructing data stored on disk files, tapes, media, etc. lost during the course of performance of maintenance and support services. OTHER SERVICE AVAILABLE TO CLIENT: Upon Client's request, the rendering of service outside the scope of PC Solutions's support service will be within the discretion of PC Solutions and, if performed, will be at the applicable PC Solutions per call rates and terms then in effect. TERM: This agreement shall commence on the date indicated above and continue until terminated by either party upon 30 days written notice, except in case of default by either party. In the event this agreement is terminated the paid but unused portion of this agreement will be refunded to the Client, except in the event of default by the Client. Multiple blocks may be purchased under this agreement as required by Client. LIABILITY: PC Solutions's obligations under this agreement are in lieu of all warranties, expressed or implied. PC Solutions will not be liable for incidental, special, indirect or consequential damages, loss of profits or income, or loss of use or other benefits arising out of or in connection with this agreement or the support service performed thereunder. ADDITIONAL TERMS: Terms and conditions in addition to those described above may be negotiated between PC Solutions and the Client and included as "ATTACHMENT C" to this agreement. This agreement shall be governed by the laws of the state of Minnesota and constitutes the entire agreement between PC Solutions and the Client with respect to the furnishing of PC Solutions support service. No provision of this agreement shall be deemed waived, amended or modified by either party unless such waiver, amendment or modification be in writing signed by the party against whom it is sought to enforce the waiver, amendment or modification. Client acknowledges that it has read this agreement, understands it and agrees to be bound by its terms and conditions. Further, Client acknowledges that this agreement is the complete and exclusive statement of the agreement between the parties, which supersedes all proposals or prior agreements, oral or written and all other communications between parties relating to the subject matter of the agreement. Any support request deemed by PC Solutions to be outside the scope of the above services will be billed at then current rates set by PC Solutions Inc. The larger the block of time purchased, the lower the hourly rate for that block. All time blocks must be paid for in advance of service. Block Size (Prepaid) Rate 1-9 Hours $129.00/hr. 10-19 Hours $125.00/hr. 20-39 Hours $120.00/hr. 40+ Hours $110.00/hr. OVERTIME RATES: All overtime is billed at 150% of standard rates. SUPPLIES AND LONG DISTANCE PHONE: Supplies purchased on behalf of the Client (parts, programs) by PC Solutions's technicians due to specific service requirements will be billed back to the Client at PC Solutions's then standard prices. All supplies purchased under this program belong to the Client and will remain at the Client location. Long distance phone charges incurred on behalf of the Client will be billed back as well. TAXES: Client agrees to pay PC Solutions all applicable taxes. In the event of a critical failure involving the Client's server, this file server will be made available to the Client. This agreement will include maximum four (4) business hour delivery of the server in the following minimum configuration: Compaq ProSignia 200 Pentium 166MHz Processor, 128mb Memory, 17.2gb Hard Disk, CD ROM Drive, 1.44mb Floppy Disk, Network Interface Cards & Keyboard ANNUAL CHARGES $625.00 CLIENT FILE SERVER COVERED NOT APPLICABLE CLIENT SITE This agreement provides for the server to be available and delivered to the customer. It does not cover installation, reconfiguration or restoration of any operating systems, applications or data. The Client will be wholly responsible for any loss, theft or damage to this equipment while the equipment is located at the above site.
