SPECIAL COUNCIL MEETING
JUNE 30, 1988
The Special Meeting was called to order by Mayor Hadtrath at 7:15 a.m.
Roll Call
Paulson, Carlson, Peterson, Petkoff, Hadtrath - present
Purpose of the Meeting
Consideration of an Estoppel and Consent Agreement by
and between the City of Columbia Heights and Miller
and Schroeder Investments Corporation.
Mr. Bocwinski, City Manager informed the Council the first document to be
considered is the Estoppel and Consent Agreement. This document relates to
the Management Agreement for the Parking Facilities and Lease of the Plaza
Property by and between the HRA and Terry Evenson and the proposed sale of
the Columbia Heights Office Building to Zaidan Holdings, Inc.. The HRA
has previously assigned its interest in the Management Agreement to the
City. Mr. Robert Deike of Holmes and Graven reviewed this document with
the Mayor and City Council. Ms. Barbara Hanson Parks of Robins, Zelle,
Larson and Kaplan representing Zaidan Holdings, Inc. agreed that all
unperformed operational and maintenance items described on Exhibit '~"
attached to the Estoppel and Consent Agreement will be corrected within
six months of the date of execution. Ms. Parks indicated a separate
agreement executed by Zaidan Holdings, Inc. will be provided to confirm
this item.
Motion by Petkoff, seconded by Peterson to approve the execution of the
Estoppel and Consent Agreement by and between the City of Columbia Heights
and Miller and Schroeder Investments Corporation. Roll Call: All Ayes.
Consideration of an Agreement between the City of Columbia
Heights, and Zaidan Holdings, Inc. for the Operation of
the Parking Ramp.
Mr. Bocwinski, City Manager presented for the Council's consideration the
Operation Agreement. Mr. Robert Deike of Holmes and Graven reviewed the
agreement which previously existed by and between the HRA and Gay Realty,
Inc.. In a previous action the HRA terminated the Operation Agreement
with Gay Realty, Inc. to provide for the execution of the Agreement by
and between the City and Zaidan Holdings, Inc., the proposed purchaser
of the Columbia Heights Office Building. This Agreement is the same as
the Agreement which previously existed with Gay Realty, Inc. with the
exception that Zaidan Holdings, Inc. at their option can renew for an
additional five years after the initial five year term.

Motion by Petkoff, seconded by Peterson to approve the execution of the
Agreement for the operation of the Parking Ramp by and between the
City of Columbia Heights and Zaidan Holdings, Inc.. Roll Call: All Ayes.
Adjournment
Motion by Paulson, seconded by Peterson to adjourn the Special Council
Meeting at 7:30 a.m. Roll Call: All Ayes.
