Immediately upon completion of shoveling and plowing, MGS will
thoroughly distribute a calcium/chloride ice-melt to all
sidewalks. Per each' 50lb'. bag th~ cost is $16'00 ( N__9o additional
cost for the actual distributing of ice-melt.')
Additionally parking lot/aisleways will receive a 80/20 mix of
sa~d/salt evenly distributed. Sand/salt mixture is $50.00 per
ton.

CONTRACT AGREEMENT
TH/S CONTRACT, Made and entered into this 28~ day of October 2004 between Parkview Villa, herein referred to as
AGENTS FOR OWNER, and MGS PROFESSIONAL BUILDING MAINTENANCE SERVICES, INC., herein referred to as
CONTRACTOR.
Contractor agrees to perform the following described services at 965 40~ Avenue NE, Columbia Heights, Minnesota, herein referred to as
the project, for the Owner under the terms and conditions set forth in this contract.
In consideration of the mutual promises set forth herein, it is agreed by and between Owner and Contractor:
DESCRIPTION OF WORK
The work to be performed by Contractor includes all services generally performed by Contractor in its usual line of business, as specified in
Contractor's proposal dated 08-08-04
RELATIONSKIP OF PARTIES
The parties inte:nd that an Independent Contractor relationship will be created by this contract and neither Contractor or its employees or sub-
contractors will be an agent, employee or partner of Owner.
Benefits provided by Owner to Owner's employees, including, but not limited to, Compensation Insurance and Unemployment Insurance, are
not available from Owner to Contractor or employees, agents, or servants of Contractor.
LABOR AND ]~TERIALS
Contractor shall furnish, at its own expense, all labor and equipment necessary to carry out the terms of this contract. It is the responsibility
of the Contractor that any equipment provided by the Contractor shall be kept in good repair and proper working order. Any inspections,
maintenance, repairs, modifications, or replacement 0~¢quiPment shall be the sole responsibility of the Contractor.
Contractor will train all employees and supervisory personnel on the rules, regulations, procedures and preparations for: SNOW
REMOVAL SERVICES on the project. Under no circumstances will Contractor send any personnel to the project which have not been
thoroughly trained and are not deemed qualified.
COMPLIANCE WITH LAWS AND REGULATIONS
Contractor agrees to comply with all Federal, State and Municipal laws, rules, and regulations including, but not limited to, all Occupational
Safety and Health Administration (OSHA) rules and guideline governing the operation of the Owner's equipment.
INSURANCE
At all times during the term of this contract, Contractor shall, at Contractor's expense, carry the insurance coverage hereinafter described
and maintain the same with an Insurance Company or Companies satisfactory to Owner and qualified to do business in the State of
Minnesota. Fm~er, each Insurance Company will provide Owner with a thirty (30) day written notice prior to cancellation. Insurance
coverage shall be as follows:
Automotive and General Liability Insurance (either primary or a combination of primary and umbrella coverage) with limits of not
less than $1,000,000 with respect to bodily injury or death to one person; not less than $1,000,000 for bodily injury or death to
any number of persons in one accident or occurrence; not less than $1,000,000 to property damage in any one accident or
Worker's Compensation Insurance as required by statute. Contractor shall furnish, or cause to be furnished, original certified
copies of certificates or policies of insurance to Owner, prior to or upon execution of this contract, evidencing the insurance
coverage described above, and shall furnish such evidence of renewal to Owner, as Owner shall be reasonably required, prior to
the expiration thereof.
BINDING EFFECT
The parties intend that the terms, conditions, and provisions of this contract shall be legally binding upon and inure to the benefit of and be
enforceable by each of the parties hereto and their respective successors and assigns.

COMPENSATI[ON
For performing services hereunder, Independent Contractor will receive compensation of SEE PROPOSAL DATED 08-08-04 payable
thirty (30) days from date of itemized invoice of services performed pursuant to this agreement. State and local sales tax is NOT included in
contract price. A 1.5 % service fee will be added to an invoice which becomes delinquent.
