Dear Mr. Streetar:
This letter constitutes an Agreement for Professional Services between the City of Columbia
Heights (hereinafter called the "City") and SEH for providing professional services in connection
with TIF Eligibility Inspection Services at the K-Mart Redevelopment Project (hereinafter called
the "Project").
You agree to furnish us with full information as to your requirements including any special or
extraordinary considerations for the Project or special services needed, and also to make available
all pertinent existing information and data that we will need to perform our services.
Our services will consist of conducting studies and investigations, and preparing a report containing
our findings along with our recommendations for the Project, all as set forth in this letter and
Exhibit A.
We will also furnish such Additional Services as you may request.
You will pay us a fee for our services related to the Project in accordance with Exhibit A. The cost
for conducting these services will not exceed $7,400.00, plus ordinary reimbursibles, estimated to
not exceed $50.00, without prior written authorization by the City.
Payment for additional services shall be based on the time required to perform the services and the
billable rates for the principals and employees engaged directly on the project, plus charges for
expenses and equipment, all in accordance with Exhibit A.
We will bill you monthly for services, expenses, and equipment. The estimated fee assumes prompt
payment of our bills and the orderly and continuous progress of the project through completion. If
there are delays in the payment of our invoices, it is agreed we are entitled to collect, and you will
pay interest at the rate of 1% per month for all amounts unpaid for thirty (30) days or more.
Additionally, if the project is delayed and we encounter additional costs as the result of the delays, it
is agreed we are entitled to additional fees upon submission of the appropriate documentation of
extra costs.

We will start our services promptly after receipt of your authorization and will complete our
services in accordance with Exhibit A. If there are delays in the Project that are beyond our control,
you agree to grant additional time to complete the services.
You agree, to the fullest extent permitted by law, to limit SEH's total liability for any and all claims,
expenses, or damages in any way related to the services provided under this Agreement to the total
sum paid to SEH for providing these services. SEH will, through the City's legal representative, to
the fullest reasonable extent, cooperate and coordinate efforts in preparing responses to any third
party challenges to the inspections.
If conflicts arise during the performance of these services, we agree they shall be submitted to non-
binding mediation unless we have mutually agreed otherwise.
This letter and Exhibit A represents the entire understanding between you and us in respect of the
Project and may only be modified in writing signed by both of us. If it satisfactorily sets forth your
understanding of our agreement, please sign the enclosed copy of this letter in the space provided
below and return it to us.

Dear Mr. Streetar:
Short Elliott Hendrickson Inc. (SEH) is pleased to submit this proposal for professional services for
TIF Eligibility Inspection Services. This proposal is for services to determine whether the
qualification tests for tax increment eligibility (site coverage, building conditions) can be met. We
have reviewed the building and area information you forwarded to us on June 6, 2003 and are
confident that we will provide the City of Columbia Heights the documentation necessary to
comply with the required statutes (State Statute 469.174, subdivisions 10 - 12). We have based the
Scope of Work on the use of Geographic Information Systems (GIS) as a data resource and data
gathering tool. The methodology for determining qualification eligibility has been used by this
office for the completion of several other assessments in the metro area.
The cost for conducting the assessments is estimated to be $7,400.00. This cost is based on the
scope of work to assess 6 buildings on 6 parcels in the project area referred to as the K-Mart
Redevelopment Project. Compensation shall be on an hourly basis to the established maximum fee,
not including ordinary reimbursable expenses (mileage, courier, reproductions, etc).
We understand in the preliminary project schedule that a preliminary report is due on July 21, 2003
and a final report is due August 15, 2003. Assuming full owner cooperation with inspection
schedules, SEH will be able to comply with this schedule.
To assist with the inspections, we request the following information from you, as is available:
1. A list of building related permits/public reports issued for each parcel over the life of the
building.
2. A letter authorizing and explaining the purpose of the inspections (for distribution to all
property owners). We can provide the City with examples previously used for similar projects.
3. A parcel map of the area to be inspected (provided June 6, 2003)..
4. A list of all parcels including parcel number, owner contact, current known business or resident
name and address.
5. Access to county taxpayer information available in GIS database format (parcel shapes, building
shapes, aerial photography, as is available). Occasionally, a third party agreement is required
between SEH and Anoka County. This is easily accomplished by having the City write a
request to the County. SEH will assist with this process if it is required.

A summary of our process and methodology used for completing the assessments is best
represented by example. Attached, you will find a sample building inspection report, maps, and a
report of our methodology, which also serves as an example of what the final assessment product
will include.
The following is a brief description of our experience in completing previous similar work: · City of Eagan: 88 parcels (commercial and residential) assessed. Completed October,
2001.
· City of Falcon Heights: 14 parcels (commercial and residential) assessed. Completed
October, 2001.
· City of Osseo: 10 parcels (commercial and residential) assessed. Completed October,
2001.
· City of West St. Paul: 105 parcels (commercial) assessed - Renewal and Renovation
District. Completed November, 2001. In process: 6 additional parcels and creation of a
new, smaller redevelopment district
· City of St. Paul: 18 parcels (industrial and residential) assessed. Completed December
200I.
· City of Burnsville: 30 parcels (commercial) assessed - Renewal and Renovation District.
Completed February, 2002.
· City of St. Paul: 44 parcels (residential) assessed. Completed August 2002.
· City of Richfield: 9 parcels (commercial and residential) assessed. Completed June
2002.
· City of Rogers: 9 parcels (commercial and residential) assessed - Renewal and
Renovation District. Completed June 2002.
· City of St. Anthony Village: 2 parcels (commercial) assessed. Completed August 2002.
· City of Coon Rapids: 23 parcels (commercial) assessed. Completed September 2002.
· City of New Hope: 35 parcels (commercial and residential) assessed. Anticipated
completion August 2003.
· City of Hastings: 21 parcels (urban commercial) assessed. Completed October 2002.
· City of Loretto: 3 parcels (commercial) assessed. Completed October 2002.
· St. Paul Port Authority: 31 parcels (industrial and residential) assessed. Anticipated
completion August 2003.
· City of Richfield: 20 parcels (commercial and residential) assessed. Completed
December 2002
· City of Elk River: 50 parcels (urban commercial and residential) assessed. Anticipated
completion August 2003.
· City of Glencoe: 11 parcels (urban commercial) assessed. Anticipated completion June
2003.
SEH understands the sensitivity required while conducting these assessments. SEH will work with
building owners when possible in order to eliminate disruption to the public, operating businesses,
tenants, or the properties. SEH will make every reasonable effort to make contact with each
property owner within the time allotted for the assessments. These efforts will be documented as
required by state statute.
